AMENDING RESOLUTION NO. 92 -1 SETTING REGULAR
MEETING DATES FOR AUTHORITY MEETINGS
WHEREAS, the Alameda Public Financing Authority (the "Authority ") is a
public agency duly organized and existing pursuant to a Joint Exercise of
Powers Agreement, dated March 17, 1992 (the "JPA Agreement "), by and
between the City of Alameda and the Community Improvement Commission of
the City of Alameda; and
WHEREAS, the Authority is statutorily authorized by Article 4 of Chapter
5 of Division 7 of Title 1 of the California Government Code and is empowered
under the JPA Agreement to issue bonds; and
WHEREAS, Section 6592.1 of the California Government Code, newly
effective as of January 1, 2010, provides that a resolution authorizing bonds or
any issuance of bonds or accepting the benefit of any bonds or the proceeds of
bonds must be adopted by the Authority only during a regular meeting of the
Board of Directors of the Authority; and
WHEREAS, to provide flexibility for the Authority to adopt resolutions for
the issuance of bonds when expedient, and in particular in connection with a
proposed issue of bonds to refinancing outstanding bonds of the City and the
Authority due to favorable market conditions, it is necessary and appropriate to
establish regular meeting dates for the Authority.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF
DIRECTORS OF THE ALAMEDA PUBLIC FINANCING AUTHORITY as
follows:
Section 1. Establishment of Regular Meeting Dates. The Authority
hereby determines that June 15, 2010, July 6, 2010, July 7, 2010, July 20,
2010, September 7, 2010, September 1, 2010, and the third Tuesday of each
March shall be established as regular meeting dates of the Authority.
Notwithstanding the foregoing, in the event the Chairman of the Authority
determines that there is no business required to be conducted by the Board of
Directors at any regular meeting, such meeting is not required to be held. Also,
the Authority may by resolution of the Board of Directors establish additional
meeting dates as necessary or convenient for the conduct of its business, and
the establishment of regular meeting dates shall not in any event preclude the
calling of special meetings of the Authority, when necessary, for purposes other
than the adoption of resolutions required by Section 6592.1 of the Government
Code to be adopted at regular meetings of the Authority.
Section 2. Effective Date. This Resolution shall take effect upon its
adoption by the Board of Directors.
I, the undersigned, hereby certify that the foregoing Resolution was duly and
regularly adopted and passed by the Board of Directors of the Alameda Public Financing
Authority in a Special Meeting of the Alameda Public Financing Authority on the 1St day of
June, 2010, by the following vote to wit:
AYES: Board members deHaan, Gilmore, Matarrese, Tam and
Chair Johnson — 5.
NOES: None.
ABSENT: None.
ABSTENTIONS: None.
