AUTHORIZING CITY MANAGER TO EXECUTE PURCHASE
AND SALE CONTRACT, COMMERCIAL LEASE, TITLE
COMPANY ESCROW INSTRUCTIONS, ACKNOWLEDGEMENT
OF BILL OF SALE AND RELATED DOCUMENTS FOR
PURCHASE AND LEASE OF LINOAKS MOTEL
WHEREAS, on February 21, 1989, the City Council
designated the Linoaks Motel site as a potential location of the
main public library; and
WHEREAS, on April 5, 1989, the City Council adopted
Ordinance No. 2424 authorizing acquisition of Linoaks Motel
property; and
WHEREAS, on January 17, 1990, the City Council adopted
a resolution of necessity authorizing acquisition of the property
by condemnation; and
WHEREAS, the owners of the Linoaks Motel have indicated
a willingness to reach a negotiated settlement of the acquisition
price prior to the initiation of condemnation proceedings; and
WHEREAS, the City is desirous of continuing the present
motel and residential uses pending further study and evaluation of
the permanent use of the property; and
WHEREAS, the present owners and operators of the property
have indicated a willingness to enter into an agreement whereby
they would continue operations of the motel pursuant to a lease
with the City; and
WHEREAS, the City Council finds and determines that
acquisition and temporary continued operation are in the best
interests of the City's powers to provide for the health and
welfare of the City's residents;
NOW, THEREFORE, BE IT RESOLVED by the City of Alameda,
acting by and through its Mayor and City Council, as follows:
1. That the City Manager is authorized to execute a
purchase and lease sale contract ("Contract of Sale") for the
acquisition of the Linoaks Motel property, 2310 Llncoln Avenue,
Alameda, for $2,850,000 with $2,750,000 to be paid at close of
escrow, and $100,000 to be paid within ninety days thereof, with:2 ,
said compensation to include all claims of the property owners for
the property, relocation rights, goodwill, business assets,
attorney's fees and all incidents of ownership of the property.D*--:
The agreement shall be approved in form by the City Attorney andr:

a copy placed on file with the City Clerk.
2. That the City Manager is authorized to execute a
commercial lease for the property, for a period of twelve months,
for a monthly lease payment of $13,500, to the current owners and
operators of the property. The form of the lease shall be approved
by the City Attorney, and a copy placed on file with the City
Clerk.
That the City Manager is authorized to execute title
company instructions, acknowledgment of bill of sale, notice of
intended transfer and leaseback, and all such other and further
documents as may be reasonably required to complete the purchase
and lease.
I, the undersigned, hereby certify that the foregoing Resolution
was duly and regularly adopted and passed by the Council of the
City of Alameda in regular meeting assembled on the 6th day of
February , 1990, by the following vote to wit:
AYES: Councilmembers Arnerich, Camicia, Thomas, Withrow and
President Corica - 5.
NOES: None.
ABSENT: None.
ABSTENTIONS: None.
