AUTHORIZING EXECUTION OF AGREEMENT WITH ALAMEDA
COUNTY REGARDING PROVISION OF OVERSIGHT RESPONSI-
BILITIES FOR EMERGENCY MEDICAL SERVICES
WHEREAS, the County of Alameda has established a local
Emergency Medical Service Agency as authorized by Health and
Safety Code Section 1797.200 and has established the Emergency
Medical Service District, County Service Area EM 1983 -1, to fund
its local EMS agency; and
WHEREAS, the City of Alameda provides at its own expense
basic life support (BLS) prehospital emergency ambulance service
in the City of Alameda; and
WHEREAS, the Alameda Hospital desires to be designated as
base hospital only to direct BLS emergency ambulance service and
the EMT -1A Optional Defibrillation Skill; and
WHEREAS, the City of Alameda intends to add the optional
EMT -1A defibrillation skill as permitted by State laws and
regulations requiring the approval and monitoring of the local
EMS agency; and
WHEREAS, the County of Alameda has established a system
of trauma care and has designated certain hospitals as trauma
centers; and
WHEREAS, the City of Alameda and Alameda Hospital desire
to coordinate the Fire Department operated BLS Emergency
Ambulance Service with County's Trauma System at Highland General
Hospital; and
WHEREAS, the County of Alameda will monitor and evaluate
implementation of said program, such as reviewing all tapes,
transcripts, pre - hospital care reports, and outcomes and
reviewing medical quality assurance and medical control systems
and procedures.

AGREEMENT
THIS AGREEMENT is made and entered into the 21st day of
October , 1987 by and between THE COUNTY OF ALAMEDA,
hereafter referred to as COUNTY, and the CITY OF ALAMEDA AND
ALAMEDA HOSPITAL, hereafter referred to as CITY /HOSPITAL,
WHEREAS, COUNTY has established a local EMS agency as
authorized by Health and Safety Code Section 1797.200;
WHEREAS, COUNTY has established the Emergency Medical

WHEREAS, CITY has declined to join County Service Area EM
1983 -1 and participate in COUNTY'S program for countywide
emergency ambulance service;
WHEREAS, CITY provides at its own expense basic life

of Alameda;
WHEREAS, HOSPITAL desires to be designated as base
hospital only to direct CITY'S BLS emergency ambulance service
and the EMT -1A Optional Defibrillation Skill;
WHEREAS, CITY intends to add the optional EMT -1A
defibrillation skill as permitted by State laws and regulations
requiring the approval and monitoring of the local EMS agency;
WHEREAS, COUNTY has established a system of trauma care
and has designated certain hospitals as trauma centers; and
WHEREAS, CITY /HOSPITAL desire to coordinate the
Fire Department operated BLS Emergency Ambulance Service with
COUNTY'S Trauma System.
NOW, THEREFORE, BE IT RESOLVED THAT:
1. CITY /HOSPITAL shall submit for the approval of the
EMS Medical Director a proposal and plan for development and
operation of the EMT -1A optional defibrillation skill program by
CITY'S Fire Department in accordance with State laws, regulations
and COUNTY policies and procedures.
2. COUNTY shall, following approval of such proposal and
plan, monitor and evaluate EMT -1A optional defibrillation and
trauma triage prehospital care services provided by CITY and
HOSPITAL.
3. CITY /HOSPITAL shall provide in a timely and regular
manner records, information and reports as required or requested
by EMS Medical Director in order for COUNTY to monitor and
evaluate the EMT -1A optional defibrillation and trauma triage
prehospital care services provided by CITY /HOSPITAL.
4. HOSPITAL shall serve as the base hospital for the
CITY'S Fire Department basic life support emergency ambulance
service and shall provide all necessary medical direction and
monitoring of EMT -1A services including the optional
defibrillation skill.
5. CITY /HOSPITAL shall establish a trauma patient
registry for trauma patients triaged and /or received by HOSPITAL
in accordance with COUNTY procedures and guidelines.
6. CITY /HOSPITAL shall follow procedures and protocols
adopted by the County EMS Medical Director, which are applicable
to CITY'S BLS emergency ambulance service and base hospital
operations.
7. COUNTY shall maintain an ongoing record of all time
worked by EMS District personnel and consultants compensated from
County Service Area funds, which work benefits CITY /HOSPITAL and
is not defrayed by other fees or charges paid by CITY /HOSPITAL.
8. CITY shall pay COUNTY monthly for EMS District
services provided and billed by COUNTY at a rate of $1,100 per
month commencing November 1, 1987 through and including June 30,
1988. COUNTY and CITY /HOSPITAL will negotiate an amendment to
this AGREEMENT to establish the monthly compensation for services
provided by COUNTY effective July 1, 1988 and thereafter
according to the documented experience of the EMS Districts
provided in paragraph 7 above.
9. It is understood that CITY /HOSPITAL shall receive no
pecuniary compensation from COUNTY under this Agreement.
10. This Agreement may be terminated by either party upon
thirty (30) days written notice.
11. Nothing herein shall preclude the EMS Medical
Director from suspending at any time for cause, approval of
the EMT -1A defibrillation program and BLS base hospital operation.
Cause is defined as non - compliance with established laws,
regulations and protocols.
12. Nothing herein shall imply COUNTY approval of any
program, status or designation of CITY /HOSPITAL not specifically
approved herein.
13. HOLD HARMLESS
a. CITY shall defend, save harmless and
indemnify the COUNTY and its officers, agents and
employees from all liabilities and claims for damages
for death, sickness or injury to persons or property,
including without limitation, all consequential
damages, from any cause whatsoever arising from or
connected with the operations of CITY, its agents or
employees under this AGREEMENT.
b. HOSPITAL shall defend, save harmless and
indemnify the COUNTY and its officers, agents and
employees from all liabilities and claims for damages
for death, sickness or injury to persons or property,
including without limitation, all consequential
damages, from any cause whatsoever arising from or
connected with the operations of HOSPITAL, its agents
or employees under this AGREEMENT.
c. COUNTY shall defend, save harmless and indemnify
the CITY /HOSPITAL and its officers, agents and
employees from all liabilities and claims for damages
for death, sickness or injury to persons or property,
including without limitation, all consequential
damages, from any cause whatsoever arising from or
connected with the operations or the services of
COUNTY hereunder, resulting from the conduct of
COUNTY, its agents or employees under this AGREEMENT.
d. HOSPITAL shall defend, save harmless and
indemnify the CITY and its officers, agents and
employees from all liabilities and claims for damages
for death, sickness or injury to persons or property,
including without limitation, all consequential
damages, from any cause whatsoever arising from or
connected with the operations of HOSPITAL, its agents
or employees under this AGREEMENT.
e. CITY shall defend, save harmless and indemnify
the HOSPITAL and its officers, agents and employees
from all liabilities and claims for damages for
death, sickness or injury to persons or property,
including without limitation, all consequential
damages, from any cause whatsoever arising from or
connected with the operations of CITY, its agents or
employees under this AGREEMENT.
THIS AGREEMENT is entered into by the parties hereto on
the date first above written.

Re: Resolution Approving Agreement with County for Oversight
Responsibilities
Background
For a number of months the City has been seeking County
approval to upgrade its pre- hospital care by implementing an EMT -
lA Optional Skill Defibrillation program. Simultaneously the
City has sought access to the Trauma Center at Highland General
Hospital with the condition that local control is maintained over
where Alameda trauma patients are sent. An agreement approving
these programs has been drafted.
Discussion /Analysis
The protracted nature of our discussions and meeting was the
result of the County's need to review and approve all protocols,
course work and training related to the Optional Skills and
Triage programs. After the programs begin the City /Hospital will
also be responsible for reimbursing the County for its role in
monitoring and evaluating implementation of the programs, most
particularly in reviewing all tapes, transcripts, pre - hospital
care reports, and outcomes and in reviewing medical quality
assurance and medical control systems and procedures. Quarterly
re- certification of our personnel is also a reimbursable
expense. The reimbursement will offset the Emergency Medical
Service District's costs related to oversight of these programs.
Budget Consideration /Financial Impact
The City and Hospital have agreed to share in these costs
which, from the City's standpoint, will be paid from revenues
generated by the ambulance transport program.
Recommendation
Based on the above it is recommended that the Council
approve the accompanying resolution.

Re: Memorandum Regarding Resolution Approving Agreement
with Alameda County for EMS Oversight Responsibilities
The above referenced memorandum in your agenda packet
omitted an important element under Budget Consideration /Financial
Impact. It should have indicated that the City's share of the
costs for County oversight should be provided by increased rates
associated with the Ambulance Transport Program.
Hopefully, that omission has caused no misunderstandings.
