RESOLUTION OF INTENTION TO LEVY AN ANNUAL ASSESSMENT
ON THE ALAMEDA BUSINESS IMPROVEMENT AREA OF THE CITY
OF ALAMEDA FOR FY 1999 -00, AND TO EXPAND THE BOUNDARIES
OF THE AREA, AND TO SET A PUBLIC HEARING FOR JUNE 15, 1999
WHEREAS, Section 6 -7 of Article II of Chapter VI of the Alameda Municipal Code
establishes the Alameda Business Improvement Area of the City of Alameda (hereinafter "Area ");
and
WHEREAS, the Area comprises all of the Park Street Business Area, included by
reference on the map and list of inclusive addresses included in this Resolution as Exhibit A and C,
respectively; and all of the Webster Street Business Area included by reference on the map and list
of inclusive addresses included in this Resolution as Exhibit B and C, respectively; and
WHEREAS, the West Alameda Business Association proposes expansion of its
geographic zone to include Marina Village, Mariner Square and Wind River; and
WHEREAS, the improvements and activities authorized by the ordinance include the
general promotion of business activities in the Area, the promotion of the public events which are
to take place on or in public places in the Area, the decoration of any public place in the Area, the
furnishing of music in any public place in the Area, and the acquisition, construction or maintenance
of parking facilities for the benefit of the Area; and
WHEREAS, agreements between the City of Alameda (hereinafter "City ") and the
Park Street Business Association (hereinafter "PSBA") and the West Alameda Business Association
(hereinafter "WABA ") designated PSBA and WABA to administer Business Improvement Area
(hereinafter `BIA ") funds for their respective geographic zones of the BIA; and
WHEREAS, PSBA and WABA have filed reports with the City Clerk describing the
surplus or deficit revenues to be carried over from FY 1999 -00 and describing the improvements and
activities, estimated costs and methods and basis for levying the assessment for FY 1999 -00.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Alameda that PSBA and WABA are hereby designated as the BIA Advisory Body for 1999 -00; and
BE IT FURTHER RESOLVED that the City Council hereby declares its intention
to expand the boundaries of the Alameda Parking and Business Improvement Area to include Marina
Village, Mariner Square and Wind River; and
BE IT FURTHER RESOLVED that the City Council sets a public hearing to
consider the annual assessment for the Area and a public hearing to consider_the expansion of the
boundaries of the Area for June 15, 1999, at which time written or oral protests may be made; and
BE IT FURTHER RESOLVED that the City Clerk is hereby directed to advertise the
public hearing on the annual assessment by causing this Resolution of Intention to be published once
in a newspaper of general circulation in the City not less than seven days before the public hearing
and to provide mailed notice of the public hearing on the expansion of the boundaries of the Area
to each business owner in Marina Village, Mariner Square and Wind River.
I, the undersigned, hereby certify that the foregoing Resolution was duly and regularly
adopted and passed by the Council of the City of Alameda in regular _meeting assembled on
the 18th day of May ,1999, by the following vote to wit:

The Cl'1'Y OF ALAMEDA, Alameda County, State of California (the "City "),
acknowledges itself indebted, and promises to pay, to the Registered Owner stated above, or
registered assigns (the "Owner "), on the Maturity Date stated above, the Principal Sum stated
above, in lawful money of the United States of America, and to pay interest thereon in like
lawful money at the rate per annum stated above, payable on the Maturity Date stated above,
calculated on the basis of 360 -day year comprised of twelve 30 -day months. Both the principal
of and interest on this Note shall be payable at maturity to the Owner.
It is hereby certified, recited and declared that this Note is one of an authorized issue of
notes in the aggregate principal amount of Dollars ($ ), all of like tenor,
issued pursuant to the provisions of Resolution No. of the City Council of the City duly
passed and adopted on May , 1999 (the "Resolution "), and pursuant to Article 7.6
(commencing with Section 53850) of Chapter 4, Part 1, Division 2, Title 5, of the California
Government Code, and that all conditions, things and acts required to exist, happen and be
performed precedent to and in the issuance of this Note do exist, have happened and have been
performed in regular and due time, form and manner as required by law, and that this Note,
together with all other indebtedness and obligations of the City, does not exceed any limit
prescribed by the Constitution or statutes of the State of California.
The principal amount of the Notes, together with the interest thereon, shall be payable
from taxes, revenue and other moneys which are received by the City for the General Fund of
the City for Fiscal Year 1999 -2000. As security for the payment of the principal of and interest
on the Notes the City has pledged, from "unrestricted moneys ", as hereinafter defined (a) to be
received in December, 1999, an amount equal to 25% of the aggregate principal amount of the
Notes, (b) to be received in February, 2000, an amount equal to 25% of the aggregate principal
amount of the Notes, (c) to be received in April, 2000, an amount equal to 50% of the aggregate
principal amount of the Notes and (d) to be received in May, 2000, an amount equal to interest
on the Notes at maturity (all such pledged amounts described in clauses (a) through (d) above
being hereinafter called the "Pledged Revenues "). The principal of the Notes and the interest
thereon shall constitute a first lien and charge thereon and shall be payable from the Pledged
Revenues, and to the extent not so paid shall be paid from any other moneys of the City
lawfully available therefor. As used herein, the term "unrestricted moneys" means the taxes,
income, revenue, cash receipts and other moneys, intended as receipts for the General Fund of
the City for Fiscal Year 1999 -2000 and which are generally available for the payment of current
expenses and other obligations of the City.
The Notes are issuable as fully registered notes, without coupons, in denominations of
$1,000 each or any integral multiple thereof. Subject to the limitations and conditions as

provided in the Resolution, Notes may be exchanged for a like aggregate principal amount of
Notes of other authorized denominations and of the same maturity.
The Notes are not subject to redemption prior to maturity.
This Note is transferable by the Owner hereof, but only under the circumstances, in the
manner and subject to the limitations provided in the Resolution. Upon registration of such
transfer a new Note or Notes, of authorized denomination or denominations, for the same
aggregate principal amount and of the same maturity will be issued to the transferee in exchange
for this Note.
The City may treat the Owner hereof as the absolute owner hereof for all purposes and
the City shall not be affected by any notice to the contrary.
IN WITNESS WHEREOF, the City of Alameda has caused this Note to be executed by
the Finance Director of the City and countersigned by the City Clerk of the City and its official
seal to be affixed hereto all as of this day of July, 1999.
