RESOLUTION NO. 03 -117
AUTHORIZING CONVEYANCE BY QUITCLAIM DEED OF APROXIMATELY 7 ACRES
AT THE FORMER EAST HOUSING SITE TO THE CITY OF ALAMEDA IN
CONSIDERATION OF THE AGREEMENT BY AND BETWEEN THE CITY AND THE
ALAMEDA UNIFIED SCHOOL DISTRICT
WHEREAS, NAS Alameda closed in April 1997 and the Fleet Industrial Supply
Corporation ( "FISC ") closed September 1998; and
WHEREAS, the U.S. Navy conveyed the FISC to the City of Alameda, a municipal
corporation ( "City ") and the East Housing portion of NAS Alameda to the Alameda Reuse and
Redevelopment Authority (ARRA) a joint powers authority, by quitclaim deed on July 17, 2000;
and
WHEREAS, the City and the ARRA conveyed the FISC and East Housing portion of the
Alameda NAS to the Alameda Community Improvement Commission ( "CIC ") by quitclaim
deed on August 1, 2001; and
WHEREAS, pursuant to City Ordinance No. 2828, the City Council approved and
authorized an agreement ( "Agreement ") between the City and the Alameda Unified School
District, a political subdivision of the state of California ( "District ") regarding certain real
property interests and other considerations between the parties; and
WHEREAS, on January 2, 2002, pursuant to City Ordinance No. 2874, the City Council
approved an amendment to the Agreement by and between the City and the District to relocate
re- designate and reduce the acreage of the property to be transferred to the District for the
proposed school site on the former FISC /East Housing property; and
WHEREAS, the FISC and East Housing portion of the NAS Alameda are within the
Business and Waterfront Improvement Plan area; and
WHEREAS, because the FISC and East Housing portion of the former NAS Alameda
were not acquired with tax increment or other CIC funds, the notice and procedural requirements
of Health and Safety Code Section 33433 do not apply; and
WHEREAS, the CIC desires to convey approximately seven acres of the East Housing
portion of the former NAS (the "Property ") to the City of Alameda to effectuate the development
and operation of a new elementary school pursuant to the Agreement, as amended, by and
between the City of Alameda, a municipal corporation and the District; and
WHEREAS, the Property was designated as Lot 199 on the Final Map for Tract 7387,
recorded on June 24, 2003; and

WHEREAS, this conveyance for the purpose of constructing a new elementary school is
consistent with the General Plan as amended on December 18, 2001, and is within the scope of
actions contemplated under the Catellus Mixed Use Development EIR certified in May 2000 and
the addendum to that EIR adopted December 18, 2001; and
WHEREAS, the Property to be conveyed by CIC to the City and from the City to the
District, pursuant to the Agreement, is more particularly described in Exhibit A attached hereto.
NOW, THEREFORE, BE IT RESOLVED by the CIC that:
A) The CIC hereby authorizes the conveyance of the Property (approximately seven acres
(Lot 199) at the former East Housing site) to the City for conveyance to the District.
B) The Executive Director or his designee is hereby authorized to execute the quitclaim
deed on behalf of the CIC, which is substantially similar in form to the one attached to
the staff report to the CIC dated September 17, 2003 for conveyance of the Property by
CIC to the City.

FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, as of
, 2003, the COMMUNITY IMPROVEMENT COMMISSION OF THE CITY OF
ALAMEDA, a public body, corporate and politic, of the State of California, exercising
governmental functions and powers, and organized and existing, under the Community
Redevelopment Law of the State of California (Health and Safety Code Section 33000 et seq.)
(the "CIC "), does hereby remise, release, and forever quitclaim to the CITY OF ALAMEDA, a
municipal corporation (the "City "), all of its rights, title and interest in and to that certain real
property situated in the City and County of Alameda, State of California more particularly
described in Exhibit A hereto.
