APPROVING AND AUTHORIZING THE EXECUTION OF LEASE
AGREEMENT BETWEEN THE ALAMEDA UNIFIED SCHOOL DISTRICT, AS
LESSOR , AND THE CITY OF ALAEDA , AS LESSEE, FOR TEMPORARY
CITY HALL FACILITIES AT HISTORIC ALAMEDA HIGH SCHOOL -
EAST WING , 2250 CENTRAL AVENUE
WHEREAS , at the City Council meeting of November 15
1994 , city Council accepted Recommendation for the Appropriation
Funds , Selection of Locations for Temporary City Hall Facilities;
and Authorization for the City Manager to Apply for and/or Enter
into Negotiations for easing of Various Sites; and
WHEREAS , on November 28 , 1994 , the City Council and
Alameda Unified School District discussed relocation of Cityoff ices into the East Wing of Historic Alameda High School; and
WHEREAS , on December 20 , 1994, the City Council accepted
the Report Regarding Conditions of Lease Between Alameda Unified
School District and the City of Alameda Pertaining to the East Wing
of Historic Alameda High School and Appropriated Funds; and
WHEREAS , the Alameda Unified School District (hereincalled "Lessor") owns that certain real property located at 2250
Central Avenue in Alameda , California (herein "real property") ; and
WHEREAS , Lessor desires to lease the real property to theci ty of Alameda on the terms and conditions set forth in the Lease
attached hereto as Attachment A , and
WHEREAS , the City of Alameda desires to enter into such
Lease.
NOW , THEREFORE , BE IT ORDAINED BY THE COUNCIL OF THE CITY
OF ALAMEDA that:
Section 1 The City Council of the City of Alameda
hereby approves and authorizes the Execution of the lease betweenthe City of Alameda , Lessee and the Alameda Unified SchoolDistrict, Lessor; and
Section 2
above , and the terms
are hereby approved.

section 3 That the City Manager of the City of Alameda
, and is hereby authorized to execute , for and on behalf of the
Ci ty of Alameda , the Lease substantially in the form and containing
the terms and conditions and covenants as set out in the Lease
attached hereto as Attachment A, and the city Clerk is hereby
authorized and directed to attest to the same.

effect from and after the later of expiration of thirty (30) days
from the date of its final passage or the completion of finalenvironmental review and approval.

LEASE AGREElVIENT
IDSTORIC ALAMDA IDGH SCHOOL
EAST WIG
THIS LEASE is made and entered into as of the day of
1995 by and between the Alameda Unified School
a public corporation , hereinafter referred to as "Lessor
Ci ty of Alameda, a charter city, hereinafter to
District,and the
Lessee
" .
RECITALS
Lessor is the owner of certain real property located at 2250
Central Avenue , Alameda I California and known as the Historic
Alameda High School - East Wing, which is not needed for schoolclassroom purposes.
Lessor wishes to lease the East Wing to Lessee and Lessee
wishes to lease the East Wing from Lessor pursuant to the following
terms and conditions.
The parties understand that the Historic Alameda High School
Foundation , Inc., has claimed a property interest in the East Wing
which is potentially adverse to the rights of both the Lessor and
Lessee. The terms and conditions of this Lease are based upon this
mutual understanding.
AGREEMENT1. In consideration of the mutual covenants
herein contained, the Lessor does hereby lease tothe Lessee does hereby lease from the Lessordescribed property:

That portion of the building known as the East Wing of the
Historic Alameda High School described in Exhibit "A" attached
hereto and by this reference made fully a part of this LeaseAgreement. In addition, Lessee shall have the right to use
the Little Theater and/or adjoining cafeteri-a and related
bathrooms to the extent that such use does not conflict withlessor I s use for school and administrative functions.2. The term of this Lease commences upon effective date of
execution of this Lease Agreement and expires on October 1, 1998.
Lessee shall occupy the leased premises upon the earlier of October
1, 1995 or the completion of the renovation work. Lessor agrees
that Lessee shall have access to the leased premises to perform therenovation work specified in paragraph herein prior

ATTACHMNT "All
commencement of the lease term. Upon the terms and conditions set
forth in this Lease Agreement, the term of this Lease Agreement may
be extended for no more than three additional one year terms as set
forth in paragraph 22. At any time after commencement of its
occupancy, Lessee shall have the right to terminate this Lease
Agreement upon three months I prior written notice to Lessor.
3 . The parties hereby expressly acknowledge that the
renovation of the leased premises and its occupancy by the Lessee
will confer considerable benefits on both parties to this LeaseAgreement. The Lessee will obtain and renovate to its
specifications a suitable temporary replacement for Alameda CityHall during City Hall's long-planned structural renovation, thereby
minimizing disruption to Lessee I s operations and to the citizens of
Alameda. The renovation will make the leased premises suitable for
use by Lessor for its Adult School operations at the conclusion of
the lease term , at a reduced cost to the Lessor. Based on the
foregoing acknowledgement, the Lessor and Lessee hereby make the
following specific agreements concerning rent, responsibili ty for
renovation, reimbursement and cost sharing:a. Rent: The rent for each lease year shall be the sum of
$1.00' per year payable on the yearly anniversary of the
commencement of the lease term , providing that the 1995 rental
is due and payable upon commencement of the lease term.b. Renovation Responsibility: As further consideration for
the interest leased to it and in lieu of additional rent, the
City of Alameda shall renovate the interior and/or exterior ofthe leased premises in accordance with the terms and
conditions of this Lease Agreement, and the Memorandum of
Agreement by and between the Alameda Unified School District
and the City of Alameda attached hereto as Exhibit B and, by
this reference made fully a part of this Lease Agreement.
Reimbursement and Cost Sharing:
(i) Lessor agrees to reimburse Lessee for the value of
renovations made by Lessee in an amount equal to Six Hundred
Thousand Dollars ($600,000). From the amount Lessor becomes
obligated to reimburse to Lessee shall be dedu ted the costs
incurred by Lessor in anticipation of the execution of this
Lease Agreement as set forth more particularly in Exhibit C
this Lease Agreement. The costs set forth in Exhibit C shall
include those incurred in connection with installation of anelevator. The costs set forth in Exhibit C shall exclude
administrati ve costs charged to the Lessor by the Office ofthe State Architect. The net amount reimbursable to the
Lessee by the Lessor pursuant to this Section 3 (c) (i) shall be
determined as of the date of the filing by the Lessee of the

Notice of Completion of the renovation work and shall be based
on an itemized written invoice from the Lessee to the Lessor
which specifically references and includes all necessarysupporting documentation. Once established and invoiced to
the Lessor , the net amount reimbursable shall be paid by
Lessor as set forth in Exhibit
(ii) Lessor and Lessee shall equally share the cost of
direct architectural expenses, fees for the Office of the
State Architect and other necessary approvals associated with
the renovation, provided that the total amount paid shall not
exceed Eighty Thousand Dollars ($80 000). Said expenses shallbe reimbursed by Lessor wi thin 30 days of receipt of itemizedwritten invoices together with all necessary supportingdocumentation.d. Lessor shall reimburse Lessee for construction and
architectural expenses and fees, including Office of State
Archi tect and all costs for moving City Hall functions toanother premises hereinafter collectively "expenses"), ifLessor, at any time during the initial lease term, cannot
Drovide the leased premises to the Lessee for the remainder of
the lease term, under the same terms and conditions of thisLease Agreement. If such reimbursement becomes necessary, it
shall be made upon the following schedule:
(1) 100% reimbursement of expenses if Lessee
not allowed to occupy the leased premises.
(2) A pro rata share of the expenses based upon
the number of months remaining in the three year
term if Lessee has transferred City Hall functionsto the premises and is subsequently required
vacate the premises in its entirety.
(3) A pro rata share of the expenses based upon
the number of months remaining in the three year
term and the percentage of space required to be
vacated if Lessee has transferred City Hall
functions to the premises and is subsequentlyrequired to vacate a portion of the premises.e. Lessor .and Lessee understand that Lessee will fund itsshare (or a portion of its share) of the renovation costs from
the proceeds of Certificates of Participation for the City
Hall Renovation Financing. To that end, Lessor and Lesseeshall insure that the proceeds of the Certificates of
Participation are not so used as to cause the Certificates of
Participation or the Lease Agreement to satisfy the private
business tests of Section 141 (b) of the Tax Code or the

private loan financing test of Section 141 (c) of the Tax Code.4. In addition to and as part of this Lease Agreement,
Lessee agrees to pay Lessor an amount equal to any applicable
taxes, including real property or possessory use taxes , which may
impose on Lessor due to the use of said real property under the
terms of this Lease Agreement. It shall not be the responsibility
of Lessor to determine whether or not such taxes are required or
due.5. Lessee shall use the leased premises during the term
hereof exclusively for city government offices and organizationsand uses that Lessee deems related to municipal government
activities, to the extent that such activities do not conflict with
the normal operations of the adj acent Alameda High School. Subj ect
only to the foregoing limitations, Lessee shall have the full right
of occupancy and enj oyment to said real property and personal
property located thereon during the term of this Lease, except that
the Lessor shall have the right to enter on said premises
reasonable times for the purpose of inspecting same and for the
purpose of carrying out its obligations under this Lease Agreement.6. Lessee shall pay for all water, gas , heat, light , power,
telephone services, garbage and recycling service, and all other
service metered to the leased premises. Lessor further reservesthe right to install separate meters for any public utility
servicing the leased premises for which a meter is not presently
installed, in which event Lessee shall make payments when due
directly to the public utility involved. When separate metering
systems are not employed, the Lessor will charge a prorated shareof the utili ties cost based on the best estimate available. If the
Lessee disagrees with the prorated estimate of utilities cost, the
Lessee will be granted permission to install , at Lessee I s expense,
separate meters and thereafter pay only the metered rate. Lessee
shall have access to boiler room for purposes of providing heat tothe leased premises. Lessee shall have the option of utilizing
telecommunication, security and fire alarm facilities located
wi thin the non-leased premises but serving the leased premises solong as such use does not conflict with Lessor'existing
operations.7. Lessee shall not make alterations, additions or
improvements on the premises, other than those specified in this
Lease Agreement or Exhibit B, without first obtaining the written
permission of the Superintendent of Schools. An appeal may be made
to the Board of Education if the Lessee believes that a denial by
the Superintendent is unreasonable. However, Lessee shall have the
right to install informational and directional signs as needed upon
adj acent non-leased property. All alterations, additions and
improvements not specified in this Lease Agreement or Exhibit B

shall be made at the Lessee I s sole expense, shall become Lessor '
property and shall remain with the premises as part thereof at the
termination of this Lease without disturbance, molestation, or
injury thereto. Nothing contained in this paragraph shall prevent
Lessee from removing all office machines, equipment, and fixtures
in said leased premises by Lessee.8. Lessee shall not commit waste on the premises demisedherein, nor maintain, commit I or permit the maintenance or
commission of a nuisance thereon or use such premises for an
unlawful purpose.9. The parties agree the plans and specifications for the
renovation of the leased premises shall be submitted to Lessee I s
Public Works Department for plan checking. Cost of plan checkingis to be borne by Lessee. In event plan checkers require charges
parties agree to include charges as part of the proj ect cost and/orarchitectural cost. Lessee hereby warrants that the renovation of
the leased premises will comply with all laws and regulations
applicable to such renovation. In the event that the renovation or
y portion of it does not comply with such applicable law andregulation, Lessor may pursue all appropriate remedies against
Lessee including, but not limited to, an action for breach of this
Lease Agreement and reasonable attorney s fees. In addition , the
Lessee agrees to indemnify and hold harmless the Alameda Unified
School District, its Board of Education officers, agents
employees and assigns, from and against any and all loss, damages
liability, claims, suits, costs and expenses whatsoever, including
reasonable attorneys I fees, regardless of the merit or outcome of
any such claim or suit arising from or in any manner connected to
the compliance of the renovation work with the law and regulation
applicable to it.
10. This Lease shall not go into effect until the Lessee
certifies to the Lessor in writing, that the requirements of the
California Environmental Quality Act have been met.
11. Lessor shall provide all necessary custodial and grounds
services for the exterior of the leased premises.
12 . Lessee shall be solely responsible for the -maintenance to
the leased premises including, but not limited to the pl urning,
heating and electrical systems. In each event, if any, of repair
to the central boiler, Lessee shall pay a prorated cost of repair
expenses not to exceed five percent (5%). However, Lessee shall
not be responsible for exterior repairs and maintenance associatedwith the leased premises including such items as roof repair,painting and stucco. Lessor shall also be responsible for the
abatement of any hazardous materials on the leased premises at its
sole cost and expense.

13.a. Lessee shall return the buildings, furniture,
equipment and grounds to the Lessor at the termination of
this Lease in as good a condition they were on the first
day of full and complete use by Lessee of the leased
premises for the purposes set forth in Section 5, normal
wear and tear excepted.b. Lessor shall inform what, if any, portions of the
leased premises are incompatible with the Lessor I s use
the leased premises as an Adul t School as set forth inExhibit B. Lessee shall do those things necessary to
make the foregoing portions of the leased premises
sui table for use as an Adul t School, to the reasonablesatisfaction of the Lessor. The value of the foregoing
work shall not exceed Twenty Five Thousand Dollars
($25,000).
14 . In the event all or any portion of said leased premisesshall be torn down or damaged by fire, or other casualty not
occasioned by the act or default of Lessee, the payments called for
by this Lease Agreement shall cease and be fairly apportioned
according to whether the destruction is entire or partial.
Provided that in the event Lessee I s insurance provides sufficient
proceeds to rebuild a building functionally similar to the
destroyed premise or portion thereof, Lessee shall have the option
to use the insurance money to rebuild the affected premises and
continue this Lease Agreement in full force and effect.
Lessee and Lessor each hereby waive any and all rights of
recovery each may have against the other, or against the officers,
employees, agents, representatives of the other, for loss of or
damages to such waiving party or its property or the property
others under its control, where such loss or damage is insured
against under any insurance policy in force at the time of such
loss or damage. Lessee and Lessor shall , upon obtaining the
policies of insurance required hereunder , give notice to the
insurance carrier or carriers that the foregoing mutual waiver of
subrogation is contained in this Lease.
15. The provisions

Alameda Unified School District, its officers, agents , deputies and
employees from any loss, damage, cause of action , claims or suits
for damages, caused by, or arising out of, or in any way connected
wi th the use of said leased premises by Lessee except where any of
the foregoing is the proximate result of Lessor I s negligence.

b. Lessor agrees to indemnify, defend and save harmless the
City of Alameda , its officers, agents, deputies and employees from
any loss, damage , cause of action, claims or suits for damages
caused by or arising out of , in any way connected with assertion by
the Historic Alameda High School Foundations, Inc., of any propertyor possessory interest in the leased premises or any portion
thereof and/or any negligent or intentional act or omission ofLessor.
16. For the entire duration of the Lease Agreement and any
and all extensions thereto, Lessee shall maintain all risk property
insurance on the leased premises.
17. Lessee shall not sell or assign this Lease Agreement or
any part thereof or any interest therein, in whole or in part
without first obtaining the written consent of Lessor, which shall
not be unreasonably withheld. This Lease Agreement shall not beassigned by operation of law. Any attempt to sell or assignwithout first obtaining the written consent of Lessor shall be
deemed a default by the Lessee, entitling the Lessor to reenter the
premises as herein provided. Lessee may sublease any portion ofthe leased premises provided that the use is consistent with
paragraph five (5) of this Lease Agreement.
18. On site parking for vehicles as shown on Exhibit "Il"adj acent to leased premises shall be included in this Lease.
Lessor and Lessee shall equally share in the on site parking by
issuance of I at no cost to Lessee, permits by Lessor. Lessee shall
share in the cost, in proportion to its usage, to maintain the
parking area in serviceable condition. Lessee shall also have theright to use teacher parking spaces on the street and parking
spaces in the lot off walnut Street on the weekends and after 5: 00p. m. on week days. Lessee shall have the right to use 50% of
parking spaces on streets directly in front and on side of leased
property.
19. Lessee is responsible for the security of the leased
premises and the contents thereof. Lessor shall provide locks and
keys for the leased premises.
20. Lessor recognizes and agrees that its use of the
remainder of its adj acent property will be compatible with other
uses to which the Lessee may put the premises.
21. All notices to be given under this Lease Agreement shall
be deemed to have duly given when mailed by registered or certified
mail , postage prepaid, to the party to be notified.

choice of law rules which may direct the application of laws of

regulations of the authorities having jurisdiction over this Lease
Agreement (or the successors of those authorities). Any suits
brought pursuant to the Lease Agreement shall be filed with the
Courts of the County of Alameda, the State of California.
24. If any legal action is necessary to enforce any provision
hereof or for damages by reason of an alleged breach of any
provisions of this Lease Agreement, the prevailing party shall beenti tIed to receive from the losing party all costs and expenses in
such amount as the Court may adjudge to be reasonable, including
attorneys I fees.
