Ordinance 2801CITY OF ALAMEDA ORDINANCE NO. 2801 New Series APPROVING ADDENDUM TO SUBLEASE BETWEEN ALAMEDA REUSE AND REDEVELOPMENT AUTHORITY AND AUDIO VIDEO TECHNCAL SERVICES ACCEPTING ASSIGNMENT OF INTEREST IN LEASE OF BUILDING 22 AT ALAMEDA POINT FROM AR SUBLESSOR AND GRATING OPTION TO PURCHASE BUILDING 22 TO AUDIO VIDEO TECHNCAL SERVICES , AS SUBLESSEE WHEREAS , the UNTED STATES OF AMERICA, acting by and through the Deparent ofthe Navy, hereinafter called the Governent , has declared certain facilities (including Building 22) surplus at Alameda Point , (fonnerly known as the Naval Air Station, Alameda California); and WHEREAS , such surplus property may be leased to state or local governents on an interim basis pending final disposition of such property; and WHEREAS , it is intended that the final disposition of the property will be the Governent's conveyance of the surplus property to the Alameda Reuse and Redevelopment Authority ("AR"); in turn , the AR will convey the property to the City of Alameda; and WHEREAS , pursuant to the provisions of Public Law 94-107 , 10 D.C. 2667(f), the Governent has made and entered into a lease with the AR for the interim use of Building 22 (included in the Prie Lease or Large Parcel Lease), and has also approved the sublease of Building 22 to a subtenant of the AR; and WHEREAS , in March , 1999 , the AR governing body authorized the Executive Director to execute a ten (10) year sublease with option to purchase Building 22 at Alameda Point with Audio Video Technical Services (A VTS) as subtenant; and WHEREAS , A VTS , a division of A VESCO, PLC , a publicly traded company based in England , wishes to be granted by AR and the City of Alameda an option to purchase the property at fair market value following the fourth year at the lease tenn; and WHEREAS, pursuant to City Charer section 3-, no real propert ofthe City shall be leased for a period in excess of one year or sold , except upon adoption of an ordinance and the affinnative vote of four members of the Council. NOW , THEREFORE , BE IT ORDAID by the Council of the City of Alameda that: Section 1 The City Council of the City of Alameda , upon the affinnative vote of four members of the City Council , hereby approves and authorizes the execution of an Addendum to Sublease between Alameda Reuse and Redevelopment Authority, as Sublessor of a leasehold interest acquired from the United States of America , acting through the Deparent of the Navy and Audio Video Technical Services , as Sublessee which Addendum assigns AR' interest in lease of Building 22 at Alameda Point to the City, and grants an option to purchase Building 22 to A VTS. Section 2 The City Manager ofthe City of Alameda be, and is hereby authorized to execute , for and on behalf ofthe City of Alameda, the Addendum to Sublease substantially in the fonn and containing the tenus and conditions and covenants as set out in the Addendum to Sublease Agreement attached to Staff Report presented to Council on July 6 , 1999. Section 3 . This Ordinance shall be in full force and effect from and after the expiration ofthirty (30) days from the date of its final passage.
