Ordinance 2818CITY OF ALAMEDA ORDINANCE NO. 2818 New Series APPROVING ADDENDUM TO SUBLEASE BETWEEN ALAMEDA REUSE AND REDEVELOPMENT AUTHORITY AND BLADIU, INC., AN ACCEPTING ASSIGNMENT OF INTEREST IN LEASE OF BUILDING 40 AT ALAMEDA POINT FROM ARAS SUBLESSOR, AN GRATING OPTION TO PURCHASE BUILDING 40 TO BLADIU , INe. AS SUBLESSEE WHEREAS, the UNTED STATES OF AMERICA , acting by and through the Deparent ofthe Navy, hereinafter called the Governent, has declared certain facilities (including Building 22) surplus at Alameda Point , (formerly known as the Naval Air Station, Alameda California); and WHEREAS , such surlus property may be leased to state or local governents on an interim basis pending final disposition of such property; and ,. WHEREAS , it is intended that the final disposition of the property wil be the Governent's conveyance of the surplus property to the Alameda Reuse and Redevelopment uthority ("AR"); in turn , the AR wil convey the property to the City of Alameda; and 4 WHEREAS , pursuant to the provisions of Public Law 94-107 , 10 U.C. 2667(f), the bJovernment has made and entered into a lease with the AR for the interim use of Building 40 included in the Prime Lease or Large Parcel Lease), and has also approved the sublease of Building \ 40 to a subtenant of the AR; and WHEREAS , on November 3 , 1999 , the AR governng body authorized the Executive Director to execute a ten (10) year sublease with option to purchase Building 40 at Alameda Point with Bladium , Inc. as subtenant; and WHEREAS , Bladium, Inc. wishes to be granted by AR and the City of Alameda an option to purchase the property at fair market value following the fourth year at the lease term; and WHEREAS , pursuant to City Chalier section 3-, no real propert of the City shall be leased for a period in excess of one year or sold , except upon adoption of an ordinance and the affrmative vote of four members of the Council. NOW , THEREFORE , BE IT ORDAINED by the Council of the City of Alameda that: Section 1 The City Council of the City of Alameda , upon the affrmative vote of four members of the City Council , hereby approves and authorizes the execution of an Addendum to Sublease between Alameda Reuse and Redevelopment Authority, as Sublessor of a leasehold interest acquired from the United States of America , acting through the Departent of the Navy and Bladium , Inc. as Sublessee which Addendum assigns AR's interest in lease of Building 40 at Alameda Point to the City, and grants an option to purchase Building 40 to Bladium Inc.. Section 2 The City Manager of the City of Alameda be , and is hereby authorized to execute , for and on behalf of the City of Alameda, the Addendum to Sublease substantially in the form and containing the terms and conditions and covenants as set out in the Addendum to Sublease Agreement attached to Staff Report presented to Council on November 16 , 1999. Section 3 . This Ordinance shall be in full force and effect from and after the expiration ofthirty (30) days from the date of its final passage.
