CITYOFALAMEDARESOLUTIONNO.14926 E APPROVINGLONG-TERMLAYOFFAGREEMENTFORTHE ~CALIFORNIA-OREGONTRANSMISSIONPROJECTo•.. in Il:I-g WHEREAS,AlamedaMunicipalPower(AMP)isamemberoftheTransmission ~AgencyofNorthernCalifornia(TANC);andl...c.. it (11 WHEREAS,AMPisaparticipantintheTANC'sshareoftheCalifornia-Oregon '~TransmissionProject(COTP);and..,~ WHEREAS,AlamedaislocatedwithintheCaliforniaIndependentSystem Operator(CAISO)controlareaandbecauseoftheCAISOelectricitymarketstructure AMPisunabletoobtainsufficientfinancialbenefitfromtheCOTPtooffsettheongoing debtandoperationandmaintenancecosts;and WHEREAS,AMPstaffhasdeterminedthatAMPisnotcurrentlyreceiving sufficientbenefitfromitsshareoftheCalifornia-OregonTransmissionProjectandthis situationisnotanticipatedtochange;and WHEREAS,theAlamedaPublicUtilitiesBoarddesirestolayoffAMP's participationintheCOTPonalong-termbasis;and WHEREAS,othermembersofTANCdesiretoincreasetheirparticipationinthe COTPonalong-termbasis;and WHEREAS,TANCanditsmembershavedevelopedanAgreementforLong- TermLayoffrelatedtotheCOTP;and WHEREAS,thePublicUtilitiesBoardhasapprovedtheLong-TermLayoff AgreementByandAmongtheTransmissionAgencyofNorthernCaliforniaandCertain ofitsMemberssubjecttoratificationofitsactionbytheAlamedaCityCouncil. NOW,THEREFORE,BEITRESOLVEDthattheAlamedaCityCouncilhereby ratifiestheactionofthePublicUtilitiesBoardapprovingtheLong-TermLayoff AgreementByandAmongtheTransmissionAgencyofNorthernCaliforniaandCertain ofitsMembersintheformpresentedtoday,withsuchminoradditionalchangesinform asmayberequiredbytheTANCCommission,andauthorizingtheInterimGeneral ManagerofAlamedaMunicipalPowertoexecutetheAgreementonbehalfofAlameda MunicipalPower. ***** I,theundersigned,herebycertifythattheforegoingResolutionwasdulyand regularlyadoptedandpassedbytheCounciloftheCityofAlameda in aregular meetingassembledonthe3rd dayofJune,2014,bythefollowingvotetowit: AYES:CouncilmembersChen,Daysog,EzzyAshcraft,Tamand MayorGilmore-5.
