CITYOFALAMEDARESOLUTIONNO.14927 Cl0- W~ ~WHEREAS,AlamedaMunicipal cCaliforniaPowerAgency(NCPA);and APPROVALOFAGREEMENTSBETWEENALAMEDAMUNICIPAL POWERANDTHENORTHERNCALIFORNIAPOWERAGENCY: MANAGEMENTANDADMINISTRATIVESERVICESAGREEMENT, AMENDEDANDRESTATEDFACILITIESAGREEMENT,SECOND AMENDEDANDRESTATEDPOOLINGAGREEMENT,ANDAMENDED ANDRESTATEDSCHEDULINGCOORDINATIONPROGRAM AGREEMENT Power(AMP)isamemberoftheNorthern WHEREAS,NCPAallowsindividualmemberpublicagenciestomoreefficiently usetheircommonpowerstoacquire,purchase,generate,transmit,distribute,sell, interchangeandpoolelectriccapacityandenergy;and WHEREAS,AlamedaMunicipalPower(AMP)hasparticipatingpercentagesin theGeothermalProject(16.885%),theCalaverasHydroProject(10%),theCombustion Turbine1Project(21.82%)andtheCombustionTurbine2Project(19%),and WHEREAS,asaparticipantinNCPAprojects,AMPisaSignatorytothe FacilitiesAgreement(FA);and WHEREAS,AMPisalsoisamemberoftheNCPAPowerPool(Pool)andisa signatorytothePoolingAgreement(PA)underwhichPowerPoolManagement(PPM) Servicesareprovided;and WHEREAS,NCPAprovidesSchedulingCoordinationServicestoAMPandother membersundertheSchedulingCoordinationProgramAgreement(SCPA);and WHEREAS,thecurrentFA,PA,andSCPAarenotconsistentwithcurrent businesspractices,including,butnotlimitedto,how:a)costsattributedtoservicesare allocatedamongthemembers,b)NCPAperformsservicesonbehalfofthemembers, c)costsattributedtoSchedulingCoordinationServicesareallocatedamongthe memberswhoreceivesuchservicesfromNCPA,and(d)memberrepresentation, quorums,andvotingrightsundereachagreement;and WHEREAS,NCPAhasalsodevelopedanewagreement,thePower ManagementandAdministrativeServicesAgreement(PMASA),thatwillworktogether withtheupdatedFA,SCPA,andPA,andwillactasaroutingagreementtoclearly identify:(a)whichserviceagreementsamemberisrequiredtosigninordertotake certainPMAservicesfromNCPAand(b)howcostsassociatedwithPMAservicesare allocatedamongthememberswhoreceivesuchservicesfromNCPA;and WHEREAS,theAlamedaPublicUtilitiesBoardhasapprovedtheFA,PA,SCPA, andPMASAAgreementswithNCPAsubjecttoratificationofitsactionbytheAlameda CityCouncil. NOW,THEREFORE,BE IT RESOLVEDthattheAlamedaCityCouncilhereby ratifiestheactionoftheAlamedaPublicUtilitiesBoardapprovingthePower ManagementandAdministrativeServicesAgreement,AmendedandRestated FacilitiesAgreement,SecondAmendedandRestatedPoolingAgreement,and AmendedandRestatedSchedulingCoordinationProgramAgreementintheform presentedtoday,andauthorizingtheInterimGeneralManagerofAlamedaMunicipal PowertoexecutetheAgreementsonbehalfofAlamedaMunicipalPower. ***** I,theundersigned,herebycertifythattheforegoingResolutionwasdulyand regularlyadoptedandpassedbytheCounciloftheCityofAlamedainaregular meetingassembledonthe3rd dayofJune,2014,bythefollowing vote towit: AYES:CouncilmembersChen,Daysog,EzzyAshcraft,Tamand MayorGilmore-5.
