CITYOFALAMEDAORDINANCENO.3096 NewSeries APPROVINGALEASEANDAUTHORIZINGTHECITY MANAGERTOEXECUTEDOCUMENTSNECESSARYTO IMPLEMENTTHETERMSOFATHIRDLEASEAMENDMENT WITHARTEMISRACING,USAFORTWENTY-FOURMONTHS WITHTWOADDITIONALOPTIONSFOREIGHTEENMONTHS ANDSIXMONTHSINBUILDING12LOCATEDAT1050WEST TOWER,APORTIONOFTAXIWAYHANDACCESSTOTHE SEAPLANELAGOONATALAMEDAPOINT WHEREAS,ArtemisRacing,USAhasbeenatenantatAlamedaPointsinceMay 2012,andtheteamhasmadeAlamedaitshome,attracting80sailors,theirfamiliesand supportingthemarineindustrythroughouttheregion;and WHEREAS,ArtemisRacingUSA,ChallengerofRecordforthe34th America's Cup,representstheRoyalSwedishYachtClub;theAmerica'sCup34racingeventis happeningthissummerintheSanFranciscoBayArea;and WHEREAS,theleaseamendmentincludescontinueduseofBuilding12,a 110,561-square-footbuilding,22,604squarefeetofTaxiway H andportionsofthe SeaplaneLagoon.TheCityhasenteredalicenseagreementwiththeNavyforaccess totheSeaplaneLagoontofacilitatethisuse;and WHEREAS,thebasemonthlyrentpreviouslypaidfromJune2013untillease expirationwas$25,000;and WHEREAS,theproposedbasemonthlyrentfromMay1,2014untilApril30, 2015is$47,624.40;and WHEREAS,theproposedbasemonthlyrentfromMay1,2015untilApril30, 2016is$49,053.12;and WHEREAS,ifArtemisRacingremainsinAlamedawithoutuseofTaxiway H/SeaplaneLagoonarea,therentwillbereducedby$3,400to$44,224.40permonth; and WHEREAS,inadditiontothebaserent,theCityholdsa$20,000securitydeposit andtheleasecontainsthestandardinsurance,indemnity,assignmentandtermination clausesARRArequiredinitsleasesandcompliantwiththeLeaseinFurtheranceof Conveyance(UFOC). NOWTHEREFORE,BEITORDAINEDbytheCityCounciloftheCityof Alamedathatbyfouraffirmativevotesthat: Section1.TheCityManageroftheCityofAlamedaorhisdesigneeishereby authorizedtonegotiate,execute,forandonbehalfoftheCityofAlameda,athirdlease amendmentwithArtemisRacing,USAfortwenty-fourmonthswithtwoadditional optionsforeighteenmonthsandsixmonthsinBuilding12locatedat1050WestTower, aportionofTaxiwayHandaccesstotheSeaplaneLagoonatAlamedaPoint,subjectto suchtechnicalorclarifyingrevisionsasarereasonablydeterminednecessarybythe CityManagerandapprovedbytheCityAttorney,andtheCityClerkishereby authorizedanddirectedtoattesttothesame. Section2.Ifanysection,subsection,sentence,clause,orphraseofthis ordinance,foranyreason,isheldtobeinvalidorunconstitutional,suchdecisionshall notaffectthevalidityorconstitutionalityoftheremainingportionsofthisordinance.The CityCounciloftheCityofAlamedaherebydeclaresthatitwouldhavepassedthis ordinance,andeachsection,subsections,clause,orphrasehereof,irrespectiveofthe factthatanyoneormoresections,subsections,sentences,clauses,andphrasesare declaredtobeinvalidandunconstitutional. Section3.Thisordinanceshallbeinfullforceandeffectfromandafterthe expirationofthirty(30)daysfromthedateofitsfinalpassage.
