TheExecutiveDirectorrespondedthattheRFQhadananalysisof thebondunderwriter'squalifications;theexperiencewasanalyzed withbondtypesandratingagencies,references,servicestobe provided,fees,andthestaffandprincipal'sexperienceand skills. ChairJohnsoninquiredwhatweretherangeoffees,towhichthe ExecutiveDirectorrespondedafewof .thefeeswereclose;thefirm ofStoneandYoungbergwasthelowestorsecondlowest. ChairJohnsonstatedgettingthebestcompetitivepricesis important;inquiredhowthebondcounselselectionprocesswas completed. TheExecutiveDirectorrespondedthattheCityAttorney'soffice hasthreefirmsundercontract;twofirmswerecontacted;onefirm hadaconflictofinterest;afeeequaltothelowestproposalwas negotiated. ChairJohnsoninquiredwhetherthefirmsareundercontract. TheCityAttorneyrespondedthataglobalRFQwasdoneinorderto createapanel i firmswithexpertiseforlegalserviceswere chosen. ChairJohnsoninquiredhowoftenaRFQisdoneforthattypeof panel,towhichtheCityAttorneyrespondedissuanceisdonefor eachparticularbondiprovidingthelowestpriceisafactoronthe criteriaforbondcounsel. ChairJohnsoninquiredwhetheraRFQisdoneforeachbondissued, towhichtheCityAttorneyrespondedintheaffirmative. ChairJohnsoninquiredhowmucharethebondcounselfees,towhich theExecutiveDirectorresponded$30,000;theCitywasableto negotiateaflatfeewithJonesHallversusapercentageofthe issuanceofthebonds. TheCityAttorneystatedbondissuanceprovidesenoughtimeto completeanRFQ. ChairJohnsoninquiredwhetherthecontractsforbondcounseland bondunderwritersareapprovedbytheCouncil/Boardof Commissioners. SpecialJointMeeting HousingAuthorityBoardofCommissionersand AlamedaPublicFinancingAuthority April19,2005 TheCityAttorneyrespondedinthenegative;statedtheactual selectionoflegalcounselisvestedintheCityAttorneyas providedbytheCityCharterandthebylawsoftheAlamedaReuse andRedevelopmentAuthoritYrHousingAuthorityand crc;theCouncil cannothireattorneys;onlytheCityAttorneycansignacontract forlegalservices. ChairJohnsonstatedthatsherecollectsthattheCharterstates thattheCityAttorneycanselectCounselwithapprovalofthe Council. TheCityAttorneystatedthatshehasanoutsidelegalopinionon thematter;theCharterstatesthattheCityCouncilmayempower theCityAttorneytoemployspecialcounsel;theCharterhasbeen consistentlyinterpretedforanumberofyearsr wasreviewedby outsidelegalcounselrandaddressedbeforeshestartedin1989; thattheCityCouncilrundertheseparationofpowersdoctriner cannothireattorneys. ChairJohnsoninquiredwhethersaidinterpretationoftheCharter statesthattheCouncilhasnooversightorcontroloverattorneys hiredthroughtheCityAttorneyrsoffice. TheCityAttorneyrespondedthattheCityCouncilandtheCity Attorneyhaveabalance;theindividualcontractwiththe individualattorneyisnotsignedbytheCityCouncil;theCharter statesthattheCityAttorneyhastorequestaspecificoutside counselunderSection8-5;theCouncilcouldrefusetofundthat attorney. ChairJohnsonstatedthatsheisinterestedinhavingacompetitive processwithallcontractstoensuretheCitygetsthelowest price;asapublicerit.Lt.y,thereisanobligationtoopenup opportunitiesforeveryonetodoworkfortheCity. Commissioner/BoardMemberDaysogsuggestedrevisitingtheinternal processemployedforbondissuing;statedtheCityCouncilshould haveavoiceindeterminingwhethertosolesourceorgooutto bid;thebondissuanceguidelinesutilizedbystaffcouldeasilybe translatedintoanordinance;therearesomeotherissuesthatthe CityAttorneyisraisingregardingprofessionalservicesthatmight nottranslateeasily.
