AGENDAITEM (05-02APFA)PublicHearingtoconsiderauthorizationofBond issuanceandborrowingforrefinancingofapartmentcomplexes,and amendmentoftheBudgettoincludeRehabilitationProjectsand otherrelatedrefinancingexpensesi (05-02A)APFAResolutionNo.05-16,"AuthorizingtheIssuance, SaleandDeliveryoftheAlamedaPublicFinancingAuthority MultifamilyHousingRevenueRefundingBonds(EagleVillage/Parrot VillageApartments)2005SeriesA,AuthorizingtheExecutionand DeliveryofandApprovingBondDocumentsandOtherRelated DocumentsandApprovingOtherRelatedActionsinConnection Therewith."Adopted. ChairJohnsoninquiredhowmuchthefeesareforthebond underwriter,towhichtheExecutiveDirectorresponded$34,000. ChairJohnsoninquiredwhetherpriceisinvolvedintheRequestfor Qualifications(RFQ)prdcess,towhichtheExecutiveDirector respondedintheaffirmativeistatedpriceissecondarYiexperience intheareaofhousingbondsforhousingauthoritiesisprimary. ChairJohnsoninquiredwhethertheRFQisbroughttotheHousing AuthorityBoardofCommissioners(HABOC),towhichtheExecutive DirectorrespondedtheRFQwasbroughttotheHABOCatameetingin October. SpecialJointMeeting HousingAuthorityBoardofCommissioners.a.nd AlamedaPublicFinancingAuthority April19,2005 ChairJohnsoninquiredwhethertheRFQincludesqualifications, scopeofwork,andproposedfees. TheExecutiveDirectorrespondedthattheRFQhadananalysisof thebondunderwriter'squalifications;theexperiencewasanalyzed withbondtypesandratingagencies,references,servicestobe provided,fees,andthestaffandprincipal'sexperienceand skills. ChairJohnsoninquiredwhatweretherangeoffees,towhichthe ExecutiveDirectorrespondedafewof .thefeeswereclose;thefirm ofStoneandYoungbergwasthelowestorsecondlowest. ChairJohnsonstatedgettingthebestcompetitivepricesis important;inquiredhowthebondcounselselectionprocesswas completed. TheExecutiveDirectorrespondedthattheCityAttorney'soffice hasthreefirmsundercontract;twofirmswerecontacted;onefirm hadaconflictofinterest;afeeequaltothelowestproposalwas negotiated. ChairJohnsoninquiredwhetherthefirmsareundercontract. TheCityAttorneyrespondedthataglobalRFQwasdoneinorderto createapanel i firmswithexpertiseforlegalserviceswere chosen. ChairJohnsoninquiredhowoftenaRFQisdoneforthattypeof panel,towhichtheCityAttorneyrespondedissuanceisdonefor eachparticularbondiprovidingthelowestpriceisafactoronthe criteriaforbondcounsel. ChairJohnsoninquiredwhetheraRFQisdoneforeachbondissued, towhichtheCityAttorneyrespondedintheaffirmative. ChairJohnsoninquiredhowmucharethebondcounselfees,towhich theExecutiveDirectorresponded$30,000;theCitywasableto negotiateaflatfeewithJonesHallversusapercentageofthe issuanceofthebonds. TheCityAttorneystatedbondissuanceprovidesenoughtimeto completeanRFQ. ChairJohnsoninquiredwhetherthecontractsforbondcounseland bondunderwritersareapprovedbytheCouncil/Boardof Commissioners. SpecialJointMeeting HousingAuthorityBoardofCommissionersand AlamedaPublicFinancingAuthority April19,2005 TheCityAttorneyrespondedinthenegative;statedtheactual selectionoflegalcounselisvestedintheCityAttorneyas providedbytheCityCharterandthebylawsoftheAlamedaReuse andRedevelopmentAuthoritYrHousingAuthorityand crc;theCouncil cannothireattorneys;onlytheCityAttorneycansignacontract forlegalservices. ChairJohnsonstatedthatsherecollectsthattheCharterstates thattheCityAttorneycanselectCounselwithapprovalofthe Council. TheCityAttorneystatedthatshehasanoutsidelegalopinionon thematter;theCharterstatesthattheCityCouncilmayempower theCityAttorneytoemployspecialcounsel;theCharterhasbeen consistentlyinterpretedforanumberofyearsr wasreviewedby outsidelegalcounselrandaddressedbeforeshestartedin1989; thattheCityCouncilrundertheseparationofpowersdoctriner cannothireattorneys. ChairJohnsoninquiredwhethersaidinterpretationoftheCharter statesthattheCouncilhasnooversightorcontroloverattorneys hiredthroughtheCityAttorneyrsoffice. TheCityAttorneyrespondedthattheCityCouncilandtheCity Attorneyhaveabalance;theindividualcontractwiththe individualattorneyisnotsignedbytheCityCouncil;theCharter statesthattheCityAttorneyhastorequestaspecificoutside counselunderSection8-5;theCouncilcouldrefusetofundthat attorney. ChairJohnsonstatedthatsheisinterestedinhavingacompetitive processwithallcontractstoensuretheCitygetsthelowest price;asapublicerit.Lt.y,thereisanobligationtoopenup opportunitiesforeveryonetodoworkfortheCity. Commissioner/BoardMemberDaysogsuggestedrevisitingtheinternal processemployedforbondissuing;statedtheCityCouncilshould haveavoiceindeterminingwhethertosolesourceorgooutto bid;thebondissuanceguidelinesutilizedbystaffcouldeasilybe translatedintoanordinance;therearesomeotherissuesthatthe CityAttorneyisraisingregardingprofessionalservicesthatmight nottranslateeasily.
