APPROVED MINUTES OF THE REGULAR MEETING OF THE ALAMEDA REUSE AND REDEVELOPMENT AUTHORITY Wednesday, March 7, 2001 The meeting convened at 5:35 p.m. with Chair Appezzato presiding. 1. ROLL CALL Present: Ralph Appezzato, Mayor, City of Alameda Beverly Johnson, Councilmember, City of Alameda Barbara Kerr, Councilmember, City of Alameda Tony Daysog, Councilmember, City of Alameda Absent: Albert DeWitt, Councilmember, City of Alameda 2. CONSENT CALENDAR 2 -A. Approval of the minutes of the regular meeting of February 7, 2001. A Member Kerr moved approval of the minutes. The motion was seconded by Member Daysog and passed by the following voice vote: Ayes -3; Noes -0; Abstentions -0 (Member Johnson arrived after the vote). 3. ACTION ITEMS 3 -A. Report and recommendation from the Director of Development Services to authorize the Executive Director to amend the existing five year sublease (including a five year renewal option) with Simmba Systems to allow a second five year renewal option. There were no public speakers. The public hearing was closed for Authority discussion. Member Daysog moved approval of the recommendation. The motion was seconded by Member Johnson and passed by the following voice vote: Ayes -4; Noes -0; Abstentions -0. 1 4. ORAL REPORTS 4 -A. Oral report from APAC. Lee Perez, Chair APAC indicated that in mid -June APAC is working on having a community town forum to enlighten the community of their accomplishments, introduce existing Alameda Point tenants and inform the community of the future plans for Alameda Point, including introduction of the Master Developer. Member Kerr stated the community meetings that APAC have put on have been important for the City and are always well done. 5. Richard Neveln, 1328 Park Street stated that development of the Northern Waterfront and the piers at the Base will be in need of dredging and the Port Services staff are doing a tremendous job to help the City of Alameda. However, more is needed as more waterfront developments occur at Alameda Point. The City of Alameda needs to create a Port authority of its own to operate and run the Port with professionals like the Port of Oakland, for the betterment of the citizens of Alameda. 6. COMMUNICATIONS FROM THE GOVERNING BODY None. 7. ROLL CALL Present: Ralph Appezzato, Mayor, City of Alameda Albert DeWitt, Councilmember, City of Alameda Beverly Johnson, Councilmember, City of Alameda Barbara Kerr, Councilmember, City of Alameda Tony Daysog, Councilmember, City of Alameda 2. ACTION ITEMS 2 -A. Recommendation from the Executive Director to accept the selection team's recommendation of a "short list" for Alameda Point Master Developer. (Item previously listed as 3 -A) Doug Yount, Development Services Director asked the Board to accept the recommendation of the short list for Alameda Point Master Developer. There were seven responses to the Request for Qualifications which was released on December 27, 2000. A Master Developer Selection Team was formed comprised of six community members and five City staff members. The Selection Team met four times and evaluated the responses submitted by the seven development teams. The Selection Team has recommended a short list of four of the seven developers including are Industrial Realty Group and Alameda Point Community Partners (Shea/Centex) who have merged together as one team; Catellus Development and Harbor Bay/Lennar LLC. There were no public speakers. The public hearing was closed for Authority discussion. Member Johnson moved approval of the recommendation. The motion was seconded by Member DeWitt and passed by the following voice vote: Ayes -5; Noes -0; Abstentions -0. 1 Discussion. Member Johnson acknowledged that Kaufman and Broad has withdrawn their application from the selection process. Member Kerr suggested that any future information sent to the Master Developer Selection Team committee, should also be sent to Governing Body so that they receive information timely. 3. ADJOURNMENT The special meeting was adjourned at 8:38 p.m. Respectfully, Lucreiia Akil ARRA Secretary 2 Alameda Reuse and Redevelopment Authority Interoffice Memorandum April 26, 2001 TO: Honorable Members of the Alameda Reuse and Redevelopment Authority FROM: Doug Yount, Development Services Director SUBJ: Report recommending the Approval of Amendment #1 to the Memorandum of Agreement between the U.S. Government (Navy) and the Alameda Reuse and Redevelopment Authority to include former Navy vehicles within the EDC Background: On June 6, 2000, the ARRA and the U.S. Government entered into a Memorandum of Agreement (MOA) for the purchase and sale of Alameda Point and the corresponding personal property. The list of personal property included furniture, equipment, and a variety of items located on the former Navy property. Discussion: At the time the ARRA approved the MOA, the former -Navy vehicles (boat and motor) were not identified on the detailed personal property list. The list currently includes approximately 50 motor vehicles and 12 boats. Many of these vehicles are currently being used by the ARRA and the City. The boats are being used by Trident Management, the ARRA's port operations manager. The vehicles currently have government plates and are not registered through the Department of Motor Vehicles. By amending the MOA, the City will receive the pink ownership slips for the vehicles and will be able to register the vehicles and aquire adequate insurance. In the future, many items, such as the various utility systems, will need to be added to the bill of sale through the amendment process. Fiscal Impact: ARRA, Public Works, and other City Departments will need to pay for the registration of these vehicles. Insurance will be added through the city's existing policies. Recommendation: It is recommended that the ARRA Governing Body approve Amendment #1 of the Memorandum of Agreement between the U.S. Government and the Alameda Reuse and Redevelopment to include the vehicles in the EDC. ONE to the Memorandum of Agreement between the United 25 States of America acting by and through the Secretary of the Navy, United States Department of 26 the Navy, and the Alameda Reuse and Redevelopment Authority for Conveyance of Portions of 27 the Naval Air Station Alameda from the United States of America to the Alameda Reuse and 28 Redevelopment Authority dated June 6, 2000 ( "Agreement ") is entered into on this day of 29 2001 by and between THE UNITED STATES OF AMERICA, acting by and 30 through the Department of the Navy (the Government), and THE ALAMEDA REUSE AND 31 REDEVELOPMENT AUTHORITY (the Authority), recognized as the local redevelopment 32 authority by the Office of Economic Adjustment on behalf of the Secretary of Defense. 33 Government and Authority are sometimes referred to herein collectively as the "Parties." 34 35 RECITALS 36 37 WHEREAS, the Parties did enter into the Agreement for the "No Cost" Economic 38 Development Conveyance ( "EDC ") to the Authority of a portion of the former Naval Air Station 39 Alameda ( "Property ") pursuant to Section 2905(b)(4) of the Defense Base Closure and 40 Realignment Act of 1990, as amended, and the implementing regulations of the Department of 41 Defense (32 CFR Part 175); 42 43 WHEREAS, subsequent to the execution and delivery of the Agreement, the Parties 44 determined that in accordance with the Reuse Plan it is desirable and necessary to include within 45 the scope of the Agreement additional items of Personal Property as listed in the Bill of Sale at 46 Exhibit A to this Amendment No. 1. 03- 60966.02 AMENDMENT NUMBER 1 1 2 WHEREAS, subsequent to the execution and delivery of the Agreement, Section 3 2905(b)(4) of the Defense Base Closure and Realignment Act of 1990 was amended by Section 4 2821 of the National Defense Authorization Act for Fiscal Year 2001 (Pub. L. No. 106 -398) to 5 change certain requirements regarding the use of proceeds from the sale or lease of the Property 6 or Personal Property transferred under the Agreement. 7 8 NOW THEREFORE, in consideration of the foregoing premises and the respective 9 representations, agreements, covenants and conditions herein contained, and other good and 10 valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the 11 Parties agree as follows: 12 13 AGREEMENTS 14 15 Article 1. Personal Property 16 17 a. Property Description. Article 2 of the Agreement is hereby amended to include 18 within the description of Personal Property all additional items listed in the Bill of Sale at Exhibit 19 A to this Amendment No. One. 20 21 Article 2. Use of Proceeds from Sale or Lease 22 23 a. Use of Proceeds from Sale or Lease. In accordance with Section 2821 of the 24 National Defense Authorization Act for Fiscal Year 2001 (Pub. L. No. 106 -398) and the 25 Agreement, Article 6 of the Agreement is hereby amended as follows: 26 27 In subparagraph (a): following the word "Deed" insert "or LIFOC". 28 29 In subparagraph (c): delete "(1)" and replace with "(a)" and delete "(2)" and replace with 30 "(b) 31 32 Delete subparagraph (d) in its entirety and substitute the following: 33 34 (d) Authority shall submit to the Government an annual financial statement certified by 35 an independent certified public accountant. The statement shall cover the Authority's use of 36 proceeds it receives from the sale, lease, or equivalent use of the Property. The first such 37 statement shall cover the 12 month period beginning on the date of recordation of the first Deed 38 or LIF'OC and shall be delivered to Government within 60 days of the end of that period and 39 annually thereafter. The seven year period will commence with the recordation of the Deed or 40 LIFOC for the initial transfer of property. The last such statement shall cover the 12 month 41 period beginning on the date seven years following the recordation of the Deed or LIFOC for the 42 initial transfer of property. The financial statements shall cover all parcels of property that have 43 been conveyed during the seven year period. In the event Congress enacts legislation regarding 03- 60966.02 2 AMENDMENT NUMBER 1 1 the reporting period after the date of this Agreement, the Government will in good faith exercise 2 the authority granted to modify the terms of this Agreement consistent with the legislation. 3 4 Article 3. Survival and Benefit 5 6 a. Unless defined separately, the terms used in this Amendment No. One shall be the 7 same as used and defined in the Agreement. 8 9 b. Government is the owner of that certain real property, together with 21 improvements and associated personal property thereon, located in Alameda, California, and 22 commonly referred to as the Foiiuer Naval Air Station, Alameda (NAS), which was closed as a 23 military installation, and is subject to disposal pursuant to the Defense Base Closure and 24 Realignment Act of 1990, as amended (hereinafter referred to as "DBCRA "). 25 26 B. By application, dated October 1997, ARRA applied for an Economic 27 Development Conveyance (EDC) pursuant to DBCRA § 2905(b)(4), as amended. The 28 application encompasses land and improvements comprising a portion of NAS, and also requests 29 the transfer of all personal property situated thereon. Pursuant to said section the Secretary of 30 the Navy has the authority to dispose of real and personal property without consideration for 31 purposes of job creation and economic redevelopment related to a closed military installation. 32 33 C. The Government has approved said EDC application and agreed to convey certain 34 portions of NAS to the ARRA under the Memorandum of Agreement between the United States 35 of America acting by and through the Secretary of the Navy, United States Department of the 36 Navy, and the Alameda Reuse and Redevelopment Authority for Conveyance of Portions of the 37 Naval Air Station Alameda from the United States of America to the Alameda Reuse and 38 Redevelopment Authority dated June 6, 2000 ( "Agreement ") 39 40 D. The Government transferred certain portions of NAS to ARRA including the 41 personal property listed in the Bill of Sale at Exhibit "F" to the Agreement. 42 43 E. Subsequent to the transfer of the personal property listed in the Bill of Sale at 44 Exhibit "F" to the Agreement, the Government and ARRA determined that in accordance with 45 the Reuse Plan it is desirable and necessary to transfer additional personal property not 46 previously listed in the Bill of Sale at Exhibit "F" to the Agreement. 03- 60973.03 BILL OF SALE FOR ADDITIONAL PERSONAL PROPERTY 1 AGREEMENTS 2 3 NOW, THEREFORE, in consideration of the foregoing recitals and other considerations set 4 forth herein, it is mutually agreed as follows: 5 6 1. Government hereby grants, transfers, releases, and quitclaims title and ownership of 7 personal property located on the real property at NAS that Government is conveying to ARRA 8 under said Agreement, as said personal property is described in Exhibit "1" hereof, which is 9 attached hereto and made a part hereof. 10 11 2. The proceeds of the sale of any of the personal property included in this Bill of Sale shall 12 be subject to the same restrictions and provisions for recoupment as are set forth in Article 6 of 13 the above -said Agreement, as amended. 14 15 3. All personal property described in this Bill of Sale is transferred without warranty of any 16 kind. The property is delivered to the ARRA "as is" and "where is," and Government makes no 17 warranty as to its usability generally or as to its fitness for any particular purpose. 18 19 4. Berger, Deputy City Manager SUBJ: Report from the Development Services Director Approving the Temporary Change of Use and Interim Lease for Building 607 with the Alameda Point Collaborative Background: As part of the Alameda Point Homeless Accommodation, the Collaborative will receive Building 101, which will serve as a community center for the entire city and house the Collaborative's offices and support services. In January, the ARRA Governing Body approved a temporary change in use for Building 613 to accommodate the Alameda Point Collaborative's (APC) need for space for support services until Building 101 is completed. In the long term, Building 613 will be used for a daycare facility. Discussion: In the long term, Building 607 is designated to be used for job training. However, as the Collaborative undertakes the extensive renovation of Building 101, there is a need for office space for the Collaborative providers. The APC has requested to use Building 607 for office space during the renovation period. The Collaborative has determined that the maximum use for this building as office space is five years. Staff believes this action is consistent with the action taken in January. As residents begin occupying the housing units at Alameda Point, it is essential to have the necessary support services and providers on -site. There will be some job training programs underway in Building 92, ensuring that all of the components of APC's continuum of care are in operation. Fiscal Impact: None. Recommendation: It is recommended that the ARRA Governing Body approve the temporary change in use and interim lease for Building 607 with the Alameda Point Collaborative.
