2012-01-31 Special ARRA Minutes Special Meeting ARRA January 31, 2012 MINUTES OF THE SPECIAL MEETING OF THE ALAMEDA REUSE AND REDEVELOPMENT AUTHORITY TUESDAY, January 31, 2012 The meeting convened at 7:06 p.m. with Chair Gilmore presiding. 1. ROLL CALL Present: Board Members Bonta, deHaan, Johnson, Tam and Chair Gilmore – 5. Absent: None. 2. ORAL COMMUNICATIONS, NON-AGENDA (PUBLIC COMMENT) None. 3. REGULAR AGENDA ITEMS (12-009) Adopt a Resolution Assigning to the City of Alameda or the City’s Designee, All of Alameda Reuse and Redevelopment Authority’s (ARRA’s) Rights, Assets, Obligations, Responsibilities, Duties and Contracts, including the Economic Development Conveyance Agreement, and Lease in Furtherance of Conveyance Subject to (I) the City or the City’s Designee Accepting Such Assignment, (II) Office of Economic Adjustment’s Designation of the City or the City’s Designee as the Local Redevelopment Authority for Naval Air Station Alameda, and (III) Execution of Documents with the Navy Necessary to Implement the City as Successor to ARRA. The Chief Operating Officer – Alameda Point summarized the Supreme Court’s decision to uphold AB26, which resulted in Redevelopment Agencies being dissolved as of February 1, 2012. The Community Improvement Commission (CIC) of the City of Alameda will be dissolved as of 2/1, and the City will become the successor agency to inherit the obligations of the CIC. Staff has been evaluating the implications of the Dissolution Act on the Alameda Reuse and Redevelopment Authority (ARRA). Staff is recommending a number of actions in succession, the first is that the ARRA assign all of its assets, obligations and rights to the City, subject to the City accepting the obligations, a subsequent action going before the City Council at its regular meeting on 2/7. The next action would be that staff writes a letter to the Office of Economic Adjustment (OEA) requesting designation as the Local Redevelopment Authority (LRA) under the Federal Base Realignment and Closure Act. Once the designation is approved by the OEA, staff will notify the Navy of the designation and execute documents necessary to make sure all of ARRA’s contracts with the Navy stay in effect. If the City accepts, and all of these actions occur, the ARRA will become a department of the City. Chair Gilmore requested the Chief Operating Officer clarify the recommended actions to the public. The Chief Operating Officer explained the issue. Member Johnson expressed concern about turning over all the rights, obligations and assets to the City. Assistant City Attorney explained that the ARRA is a Joint Powers Authority with the CIC. With the dissolution of the CIC, it is not entirely clear whether the ARRA will survive legally by any operation of law. The Assistant City Attorney addressed the perceived liabilities and informed the Board that staff has evaluated all the obligations the ARRA has and how its risks can be covered, and have determined that staff’s recommendation is the best option. Member Johnson moved for adopting the resolution assigning ARRA’s rights to the City. Member Bonta seconded the motion, which carried by unanimous voice vote – 5. 4. EXECUTIVE DIRECTOR COMMUNICATIONS The Executive Director read a memo from the City Clerk regarding the Sunshine Ordinance Procedures. Member Johnson inquired how Closed Session minutes will be approved. The Executive Director explained that there are solutions, but this issue should not be discussed at this time since it is not on the agenda, suggesting it be agendized for the 2/21 Regular Council Meeting. 5. COMMUNICATIONS FROM THE GOVERNING BODY Member Tam discussed her attendance at the 1/26 League of California Cities Policy Committee regarding redevelopment agencies. The discussion included the likelihood of the CRA dissolving. Member Tam also attended the Employee Relations Policy Committee as a new member. Its focus was the Governor’s 14-point pension reform plan. 6.
