APPROVING THE SUPPORT SERVICES PROGRAM AGREEMENT
WITH THE NORTHERN CALIFORNIA POWER AGENCY AND
ALAMEDA MUNICIPAL POWER
WHEREAS, Alameda Municipal Power (AMP) is a member of the Northern
California Power Agency (NCPA), which was formed by various Northern California
municipal utilities on July 19, 1968 through the Joint Powers Agreement (JPA) to provide
for the purchasing, using, or selling of revenue-producing facilities, including electric
generating and transmitting facilities, as well as other supporting programs such as
scheduling and dispatch services and legislative advocacy services; and
WHEREAS, AMP currently receives benefits from various projects and programs
offered at NCPA; and
WHEREAS, NCPA is expanding service offerings to its members by offering
additional support services such as joint purchasing, engineering services, transmission
and distribution planning, power marketing and analysis, employee training, employment
and human relations assistance, customer services and billing, metering and data
management, power plant operations, and other forms of assistance and professional
services relating to the operation of a publicly owned electric utility, as related to either
the generation, transmission, or distribution of electricity or the wholesale or retail
operation of such a utility; and
WHEREAS, approval of the attached Support Services Program Agreement
(SSPA) between NCPA and AMP will provide the opportunity for AMP to utilize the benefit
of these new services; and
WHEREAS, signatory members of the SSPA may accept offers of support services
procured by NCPA by executing a written "Confirmation for Support Services" through the
signatory member's Designated Representatives; and
WHEREAS, the SSPA section 2.2, provides that either the identity or the monetary
not to exceed spending authority for Designated Representatives may be changed by
providing NCPA with thirty days written notice accompanied by a resolution of the
Designated Representative's Governing Board; and
WHEREAS, the SSPA does not have a specific term or end date, but allows a
member to withdraw from the SSPA by providing two year's advance written notice to
NCPA; and
WHEREAS, the City Charter limits the Public Utilities Board's (Board's) .power to
contract for public utility services to a period not to exceed 15 years; and therefore,
approval of the SSPA by the City Council is required.
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Alameda as
follows:
1. That the Support Services Program Agreement between the Northern
California Power Agency and AMP is hereby approved by the Council of the City of
Alameda; and
2. That AMP's General Manager and the Public Utility Board's General
Counsel are hereby appointed the Designated Representatives under the SSPA; and
3. That the Designated Representatives are hereby authorized to execute the
SSPA; and
4. That the Designated Representatives are authorized to jointly execute any
given individual Confirmation for Support Services on AMP's behalf which does not
exceed $75,000.
I, the undersigned, hereby certify that the foregoing Resolution was duly and
regularly adopted and passed by the Council of the City of Alameda in regular meeting
assembled on the 7th day of June, 2016, by the following vote to wit:
AYES: Councilmembers Daysog, Ezzy Ashcraft, Matarrese, Oddie
and Mayor Spencer — 5.
NOES: None.
ABSENT: None.
ABSTENTIONS: None.
