AMENDING THE CONCESSION AGREEMENT WITH DIALEMI, INC.
(KNOWN AS JIM'S ON THE COURSE), TO PROVIDE AN EXTENSION
FOR COMPLETION OF THE EVENT CENTER AT THE CORICA PARK
GOLF COMPLEX
WHEREAS, the City is owner of the real property commonly known as the Carica
Park Golf Complex ("Carica Park") located at 1 Clubhouse Memorial Drive, Alameda,
California 94502; and
WHEREAS, the City has an existing agreement ("Existing Agreement"), approved
March 1, 2016, with Dialemi, Inc, doing business as Jim's at the Course
(
11 Concessionaire") to provide food and beverage services at the Clubhouse Building
C'Building") located at the Complex; and
WHEREAS, the City entered into a First Amendment to the Existing Agreement,
approved December 19, 2018, with the Concessionaire, that established the requirement
and deadline for construction of the event center; and
WHEREAS, the City and the Concessionaire desire to amend this Existing
Agreement and First Amendment (the Second Amendment) to extend the deadline to
construct the event center to December 31, 2019, pending other utility delays that are not
within the Concessionaire's control; and
WHEREAS, pursuant to City Charter Article XXII Section 12, the City Council,
without requiring a public vote, may grant concessions within public park property which
is defined to include Carica Park.
NOW THEREFORE, BE IT RESOLVED by the City Council of the City of Alameda
that the Second Agreement (as defined above) is approved; and
BE IT FURTHER RESOLVED, the City Manager of the City of Alameda or his/her
designee is hereby authorized to execute, for and on behalf of the City of Alameda, the
Second Agreement subject to such technical or clarifying revisions as are reasonably
determined necessary by the City Manager and approved by the City Attorney, and the
City Clerk is hereby authorized and directed to attest to the same; and
BE IT FURTHER RESOLVED, the City Manager, or his/her designee, is hereby
further authorized and directed to execute all documents or instruments and to take any
additional actions that do not require the expenditure of City funds as may be necessary
or appropriate to carry out the provisions of the Second Agreement on behalf of the City.

I, the undersigned, hereby certify that the foregoing Resolution was duly and
regularly adopted and passed by the Council of the City of Alameda in a regular meeting
assembled on the 19th day of March, 2019, by the following vote to wit:
AYES: Councilmembers Daysog, Knox White, Oddie, Vella and
Mayor Ezzy Ashcraft-5.
NOES: None.
ABSENT: None.
ABSTENTIONS: None.
