AUTHORIZING THE CITY MANAGER TO ENTER INTO A THIRD
AMENDMENT TO THE ECONOMIC DEVELOPMENT CONVEYANCE
AGREEMENT TO MODIFY THE HOUSING FEE FOR THE FORMER
NAVAL AIR STATION, ALAMEDA
WHEREAS, the United States Department of the Navy ("Navy"), and the Alameda
Reuse and Redevelopment Authority ("ARRA") (together, the Parties) entered into the
Memorandum of Agreement for the Conveyance of Portions of the Naval Air Station
Alameda in June 6, 2000 ("EDC Agreement"), pursuant to Section 2905(b)(4) of the
Defense Base Closure and Realignment Act of 1990, as amended, and the implementing
regulations of the Department of Defense (32 CFR Part 174); and
WHEREAS, the Parties entered into Amendment No. 1 to the EDC Agreement on
July 13, 2001; and
WHEREAS, the Parties entered into Amendment No. 2 to the EDC Agreement on
January 13, 2012; and
WHEREAS, on February 7, 2012, the City Council adopted Resolution No. 14654,
accepting assignment of ARRA's rights, obligations, responsibilities, duties and contracts,
including the EDC Agreement and Lease in Furtherance of Conveyance; and
WHEREAS, the Parties have found that the provisions of Amendment No. 2 related
to the fee to be paid for market rate housing units in excess of the Baseline Residential
Units are not in alignment with fair market value, and do not reflect the intent of the
Parties; and
WHEREAS, the Parties require additional changes related to the financial reporting
requirements; and
WHEREAS, the Parties now therefore desire to further amend the EDC Agreement
to revise these terms to support the City's effort to advance additional housing
development at the former Naval Air Station, Alameda.
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Alameda,
that the City Manager is authorized and directed to enter into Amendment No. 3 to the
EDC Agreement.
