CONS=INq TO A SUBItASE FROM ALAIEDA AIRPORT,
INC., TO PAN AMERICAN AIRWAYS, INC. OF TIDE
AND SUBMERGED LANDS OF THE WESTERN WATERFRONT
OF THE. CITY OF ki,(11711A.
WHEREAS, on August 7, 1928, the City of Alameda, pursuant to the provisions
of Ordinance No. 368, New Series, duly executed and delivered to Chadwick Thompson
and Virgil G. Skinner a certain lease of certain tide and submerged lands en the
western waterfront of the City of Alameda, upon. the terms and conditions in said
lease set forth, and
MIEREAS, on September 5, 1929, Chadwick Thompson and Virgil G. Skinner duly
assigned said lease, dated August 7, 1928, to Alameda Airport, Inc., and
WHEREAS, on December 3, 1929, pursuant to authority granted by the voters
of the City of Alameda at an election held on November 5, 1929, the City of
Alameda duly executed and delivered to Alameda Airport, Inc., a certain lease of
approximately fifty acres of land on the western waterfront of the City of
Alameda upon the terns and conditions in said lease set forth, and
WHEREAS, on October 6, 1932, pursuant to the provisions of Ordinance No. 488,
New Series, the City of Alameda duly entered into an agreement with Alameda Air-
port, Inc., wherein and whereby the lease dated August 7, 1928, was amended in
certain respects as in said agreement set forth, and
WEEREAS, Alameda Airport, Inc. is in possession under said lease dated
August 7p 1928, as amended, and said lease dated December 3, 1929, and has duly
performed all and singular the agreements, terms and conditions thereof on its
part to be performed thereunder on or prior to the date hereof, and
WHEREAS, Alameda Airport, Inc, has duly filed an application requesting that
the City of Alameda consent to the subleasing by Alameda Airport, Inc. to Pan
American Airways, Inc., of portions of the property covered by said lease dated
August 7, 1928, as amended, and said lease dated December 3, 1029, and
WHEREAS the Council of the City of Alamede has duly considered said app-
lication,
NOW THERE7OPE, DE IT RESOLVED BY THE COUNCIL OF THE CITY OF ALAMEDA that the
City of Alameda does hereby consent to, authorize, approve, and agree to, a sub-
lease from Alameda Airport, In to Pan American Airways, Inc-, (a) of those
portions of the property covered by said lease dated August 7, 1928, as amended,
and said lease dated December 3, 1929, (b) for the purposes and uses, and (c)
upon the terms and conditions contained in, and substantially as expressed and
set forth in the draft of said sublease submitted to the City Council, and filed
with the City Clerk at Inc special meeting of said Connell held on January 22, 1235.
BE IT FCBTHER RESOLVED that, anything in this resolution to the contrary
notwithstanding, nothing in this resolution shall be deemed cr construed in
any way as permitting, ratifying or consenting to any modification of the terms,
conditions or covenants in said lease of August 7, 1.928, as amended, and Dec-
ember 3, 10'29, or in any way abrogation, modifying., or impeTing any of the City
of Alameda's rights under said lease, nor as approving any clause, or provision
contained in said proposed sublease which shall be in conflict with, or directly
or indirectly, by implication or otherwise, modify any of the clauses, covenants,
conditions or agreements in said original lease contained.

regularly introduced and adopted by the Council of the City of Alameda in special
meeting assembled oe the 22nd day of January, 1935, by the fallowing vote, to wit:
