APPROVING SHELL: MEMBER SUPPLEMENTS 1 AND 2 AND THE
AMENDED AND RESTATED MEMBER AGREEMENT FOR CONSTRUCTION
OPERATION AND FINANCING OF NCPA GEOTHERMAL GENERATING
UNIT #2 PROJE T
WHEREAS; on January 1, 1980, the City of Alameda, acting by
and through its Bureau of Electricity, entered into an agreement,
entitled "Amended and Restated Member Agreement for Construction,
Operat'an and Financing of NCPA Geothermal Generating Unit #2,
Project," between the Northern California Power Agency, a
powers agency of the State of California, and various'citi

NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY
OF ALAMEDA that said council does hereby approve and ratify the
Shell Member Supplements 1 and 2 and the Amended and Restated
Member Agreement for Construction, Operation and Financing of NCPA
Geothermal Generating Unit #f2 Project between the Northern
California Power Ageney, a joint powers agency of the State of
California and those of its members who executed the agreement.

Resolution was duly and regularly adopted and passed by the
Council of the City of Alameda in regular meeting assembled
on the 16th day of December, 1930, by the following vote, to wit:
