AUTHORIZING EXECUTION OF AGREEMENT FOR ASSUMPTION OF
OBLIGATIONS AND LIABILITIES BY 'TLiE OAKLAND SCAVENGER
COMPANY OF THE SOLID WASTE DISPOSAL AGREEMENT BETWEEN
THE CITY AND ALAMEDA CITY DISPOSAL
WHEREAS, Resolution No 8981, adopted September 19, 1978,
authorized a Solid Waste Disposal Agreement between the City, -and'
Alameda City Disposal, thereafter executed'' September 28, 1978,
which granted exclusive rights for a period of ten years to
collect, remove and dispose of all solid waste accumulating in the
City of Alameda that is required to be accumulated and offered for
collection to Disposal company in accordance with legislation; and
WHEREAS Alameda City Disposal is negotiating and desires to
sell all capital stock in the company to Oakland Scavenger Company,
a California corporation; and
WHEREAS, Oakland Scavenger Company is a financially .respon-
sible_corporation and is willing and able to undertake and carry
out the Solid Waste Disposal Agreement with the City; and
WHEREAS;, an agreement entitled "Agreement for Assumption of
Obligations and Liabilities Under Solid Waste Disposal Agr eement"
has been submitted to this Council and the Council is fully in-
formed and aware of the t and conditions thereof; and

NOW, THEREFORE, ICE IJ RESOLVED BY IHE COUNCIL OF THE CITY
OF ALAMEDA that the Mayor is hereby authorized and directed to
execute for and on behalf of the City of Alameda that certain
agreement referred to above by and between the City and Oakland
Scavenger Company, wherein said Company assumes and agrees to pay,
perform and discharge when due each and every one of the obliga-
ns and liabilities of Alameda City Disposal under the Solid
Waste Disposal Agreement. The City Clerk is hereby directed to
attest to same.
BE IT FURTHER RESOLVED that the effective date of said
Agreement shall be April 1, 1981.'
I, the undersigned, hereby certify that the foregoing
Resolution was duly and regularly adopted and passed by the
Council of the City of Alameda in regular meeting assembled
on the 7th of April, 1981, by the following vote, to wit:
