A RESOLUTION APPROVING, AUTHORIZING AND DIRECTING
EXECUTION OF FINANCING DOCUMENTS PERTAINING TO THE
LEASE-PURCHASE OF CERTAIN EQUIPMENT
RESOLVED, by the City Council of the City of Alameda:
WHEREAS, the City of Alameda (the "City") is proposing to
proceed with lease-purchase financing of certain Equipment (the
"Project") and it is in the public interest and for the public
benefit that the City authorize and direct execution of the
financing documents in connection therewith;
WHEREAS, the documents below specified have been filed with
this City, and the members of the City Council, with the aid of
its staff, have reviewed said documents;
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY
OF ALAMEDA, California, that:
Section 1. The below-enumerated documents be and are
hereby approved, and the Mayor is hereby authorized and directed
to execute said Agreements, and the City Clerk is hereby
authorized and directed to attest to the Mayor's signature:
(a) Lease-Purchase Agreement, relating to the Equipment,
between the Association, as Lessor, and the City, as Lessee;
(b) Trust Agreement, relating to the financing of the
acquisition and installation of the Project, and the execution
and delivery of the Certificates of Participation in the Lease
Payments to be made by the Cities of Alameda, Concord, Hayward and
Union City (the "Cities") under the Lease-Purchase Agreements,
between Security Pacific National Bank (the Trustee"), the
Association and the City;
(c) Agency Agreement, relating to appointment by the
Association of the City as its agent to carry out all phases of
the supervision of the acquisition and installation of the Project.
Section 2. Said documents are subject to minor revision
not inconsistent with the essential terms thereof.
Section 3. The City Manager, Mayor, City Clerk, Director
of Finance and other officials of the City are hereby authorized
and directed to execute such other documents and certificates as
may be necessary to effect the purposes of this resolution and the
lease-purchase financing herein authorized.
I, the undersigned, hereby certify that the foregoing resolution was
duly and regularly adopted and passed by the Council of the City of
Alameda in regular meeting assembled on the 20th of September, 1983, by
the following vote to wit:
AYES: Councilmembers Hanna, Lucas, Monsef and President Diament - 4.
NOES: None.
ABSENT: Councilmember Gorman - 1.
IN WITNESS WHEREOF, I have hereunto set my hand and affixed the official
