RESOLVED, by the City Council (the "Council") of the City of Alameda (the "City"),
County of Alameda, California, that that certain Acquisition and Construction Agreement
between the City and Harbor Bay Village V Associates, this date presented to this
Council, is hereby approved, and the Mayor of the City is hereby authorized to execute
said Agreement on behalf of the City and the City Clerk of the City is hereby directed to

attest the signature of the Mayor and affix thereto the official seal of the City.

I, the undersigned, hereby certify that the foregoing
Resolution was duly and regularly adopted and passed by
the Council of the City of Alameda in regular meeting
assembled on the 4th of April, 1989,
