Resolution 12850CITY OF ALAMEDA RESOLUTION NO. 12850 APPROVING AND AUTHORIZING THE EXECUTION OF THE AGREEMENT FOR FINANCING. ELECTRIC CAPACITY WITH THE NORTHERN CALIFORNIA POWER AGENCY WHEREAS, the Northern California Power Agency ( "NCPA ") has entered into that certain WWP -NCPA 20 -Year Power Sale Agreement ( "Power Sale Agreement ") effective as of October 10, 1991, between NCPA and the Washington Water Power Company pursuant to which NCPA has acquired, as agent for those members of NCPA executing the Third Phase Agreement maintained below 50MW of firm electric capacity; and WHEREAS, NCPA has entered into that certain Northwest Resources Third Phase Agreement (the "Third Phase Agreement "), dated as of October 11, 1991 among NCPA and the City of Alameda, the City of Healdsburg, the City of Lodi, the City of Lompoc, the City of Palo Alto, the City of Roseville, the Turlock Irrigation District and the City of Ukiah, and WHEREAS, the City of Alameda, Bureau of Electricity has requested NCPA to issue its bonds for the purpose of financing the cost of the Bureau's share of the electric capacity made available to the Bureau under the Third Phase Agreement; and WHEREAS, NCPA is to undertake the financing of such electric capacity described in the Agreement for Financing Electric Capacity between NCPA and the City of Alameda; and WHEREAS, the Public Utilities Board of the City of Alameda, Bureau of Electricity has previously recommended this financing action at its October 21, 1996, meeting; and WHEREAS, there has been prepared and submitted to this meeting a form of the Agreement for Financing Electric Capacity with the Northern California Power Agency; a copy of which is attached to the City Council staff report. NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Alameda that said Council hereby approves the Agreement for Financing Electric Capacity and authorizes the Interim City Manager or his designee to execute the same. I, the undersigned, hereby certify that the foregoing Resolution was duly and regularly adopted and passed by the Council of the City of Alameda in regular meeting assembled on the 21st day of January , 1997, by the following vote to wit: AYES: Councilmembers Daysog, DeWitt, Kerr, Lucas and President Appezzato - 5.
