CIC Resolution 98-78COMMUNITY IMPROVEMENT COMMISSION OF THE CITY OF ALAMEDA RESOLUTION NO. 9 8 -7 8 AMENDING COMMUNITY IMPROVEMENT COMMISSION BYLAWS BY ADDING SECTION 12 TO ARTICLE II REGARDING GENERAL COUNSEL DUTIES AND AMENDING SECTION 1 OF ARTICLE III REGARDING THE ANNUAL MEETING WHEREAS, on October 11, 1982, the Community Improvement Commission, by Resolution No. 82-1, adopted the Bylaws of the Community Improvement Commission; and WHEREAS, to assure the orderly process and function of the Community Improvement Commission of the City of Alameda, it is necessary to amend the bylaws to improve the operating procedures and clarify that the City Attorney is appointed as the General Counsel.. NOW, THEREFORE, BE IT RESOLVED BY THE COMMUNITY IMPROVEMENT COMMISSION OF THE CITY OF ALAMEDA that the bylaws of the Community Improvement Commission are hereby amended as follows: 1. Article II "Officers" is amended by adding a new Section 12 "General Counsel" to read as follows: Section 12. General Counsel. The Community Improvement Commission shall contract with the City Attorney of the City of Alameda or the City Attorney's designee to serve as the General Counsel of the Commission. The General Counsel shall be the chief legal officer of the Commission and shall be responsible for the preparation of all proposed resolutions, laws, rules, contracts, bonds and other legal papers for the Commission and shall endorse approval as to folin. The General Counsel shall give advice or opinions in writing to the Governing Body whenever requested to do so. The General Counsel shall attend to all suits and oth6r matters to which the Commission is a part or in which the Commission may be legally interested and do such other things pertaining to the General Counsel's office as the Governing Body may request. The General Counsel shall have the power and it shall be his/her duty to: To obtain consent of the Governing Body of the Community Improvement Commission or the Executive Director prior to initiating litigation; 2. To employ special legal counsel, as he/she may deem necessary, provided that there are budgeted funds or otherwise seek authorization to employ special legal counsel; To settle, compromise or discuss any litigation or claims in the amount of under $15,000. 2. Article III "Meetings", Section 1 "Annual Meetings" is amended to read: Section 1. Annual Meeting. The annual meeting of the Commission shall be held on the third Tuesday ofJune each calendar year at such time and place as the Commission may designate by resolution. I, the undersigned, hereby certify that the foregoing Resolution was duly and regularly adopted and passed by the Community Improvement Commission of the City of Alameda in special meeting assembled on the 5th day of May , 1998, by the following vote to wit: AYES: Commissioners Daysog, DeWitt, Kerr, Lucas and Chair Appezzato - 5.
