CITYOFALAMEDAFINANCINGAUTHORITYRESOLUTIONNO.13-03 RESOLUTIONAPPROVINGTHEFORMANDAUTHORIZINGTHE EXECUTIONOFCERTAINLEASEFINANCINGDOCUMENTSIN CONNECTIONWITHTHEOFFERINGANDSALEOFCERTIFICATES OFPARTICIPATIONRELATINGTHERETOTOREFUNDTHECITYOF ALAMEDA'SOUTSTANDING2002CERTIFICATESOF PARTICIPATION(CITYHALLREFINANCINGPROJECT)ANDTO FINANCETHECOSTSOFCONSTRUCTIONOFANEWCITY EMERGENCYOPERATIONSCENTERANDASSOCIATEDEXPENSES, ANDAUTHORIZINGANDDIRECTINGCERTAINACTIONSWITH RESPECTTHERETO RESOLVED,bytheBoardofDirectors(the"Board")oftheCityofAlameda FinancingAuthority(the"Authority"): WHEREAS,theCityofAlameda,California(the"City"),workingwiththe AlamedaPublicImprovementCorporation(the"Corporation"),hasheretoforecaused theexecutionanddeliveryofthe2002CertificatesofParticipation(CityHall RefinancingProject)(the"2002Certificates"),representingundividedfractional interestsoftheownersthereofinleasepaymentstobemadebytheCityasthe rentalforcertainpropertypursuanttoaleaseagreementwiththeCorporation, deliveredtorefundcertaincertificatesofparticipationexecutedanddeliveredin1995 tofinancetheseismicupgradeandrenovationofAlamedaCityHall;and WHEREAS,the2002Certificatesarecurrentlyoutstandingintheprincipal amountof$7,395,000;and WHEREAS,theCity,withtheassistanceoftheAuthority,hasdeterminedat thistime,duetoprevailinginterestratesinthemunicipalbondmarketandforother reasons,to(a)refundthe2002Certificatesand(b)financethecostsofconstruction ofanewCityEmergencyOperationsCenterandassociatedexpenses(the"2013 Project"),andtoimplementaleasefinancingforsuchpurposes;and WHEREAS,itisinthepublicinterestandforthepublicbenefitthatthe Authorityauthorizeanddirectexecutionofcertainfinancingdocumentsinconnection therewith;and WHEREAS,thedocumentsbelowspecifiedshallbefiledwiththeAuthority andthemembersoftheBoard,withtheaidofitsstaff,shallreviewsaiddocuments. NOW,THEREFORE,itisherebyDECLAREDandORDERED,asfollows: Section 1.CertificatesofParticipation(2013FinancingProject)(the "Certificates")areherebyauthorizedtobeexecutedanddeliveredpursuanttothe 01019.20 provisionsoftheTrustAgreement,ashereinafterdefined,torefundthe2002 Certificatesandtofinancethe2013Project. Section 2.Thebelow-enumerateddocuments,intheformsonfilewiththe Secretary,beandareherebyapproved,andtheChairperson,theExecutiveDirector, theAssistantExecutiveDirectorortheTreasurer,oranydesigneethereof(each,a "DesignatedOfficer"),isherebyauthorizedanddirectedtoexecutesaiddocuments, withsuchchanges,insertionsandomissionsasmaybeapprovedbysuchofficials, andtheSecretaryisherebyauthorizedanddirectedtoattesttosuchofficial's signature: (a)asiteandfacilitylease,byandbetweentheCity,aslessor,andthe Authority,aslessee,pursuanttowhichtheCitywillleasecertainexistingproperty (the"Property")totheAuthority,forthepurposeofleasingthePropertybacktothe CitypursuanttotheLeaseAgreement; (b)aleaseagreementrelatingtotheProperty,betweentheAuthority,as lessor,andtheCity,aslessee(the"LeaseAgreement"); (c)anassignmentagreement,byandbetweentheAuthorityandTheBankof NewYorkMellonTrustCompany,N.A.,astrustee(the"Trustee"),pursuanttowhich theAuthoritywillassigncertainofitsrightsundertheLeaseAgreement,includingits righttoreceiveleasepaymentsthereunder,totheTrustee;and (d)atrustagreement,byandamongtheAuthority,theCityandtheTrustee, relatingtotheexecutionanddeliveryoftheCertificates(the"TrustAgreement"). Section 3.TheChairperson,theExecutiveDirector,theAssistantExecutive Director,theTreasurer,theSecretaryandanyandallotherofficersoftheAuthority areherebyauthorizedanddirectedtoexecutesuchotheragreements,documents andcertificatesasmaybenecessarytoeffectthepurposesofthisresolutionandthe leasefinancinghereinauthorized. Section 4.ThisResolutionshalltakeeffectuponitsadoptionbytheBoard. ************ -2- I,theundersignedherebycertifythattheforegoingResolutionwasdulyand regularlyadoptedandpassedbytheBoardofDirectorsoftheCityofAlameda FinancingAuthorityinaregularmeetingassembledonthe17thdayofSeptember, 2013,bythefollowingvotetowit: AYES:MembersChen,Daysog,EzzyAshcraft,TamandChair Gilmore-5.
