GRANTING CONDITIONAL CONSENT FOR A PROPOSED MERGER OF COMCAST
CORPORATION AND AT&T CORPORATION , PARNT OF THE CABLE TELEVISION
FRANCHISE HOLDER , UNTED CABLE TELEVISION OF ALAMEDA
WHEREAS , AT&T Corporation, the parent company of United Cable Television
Alameda, Inc., a cable television franchisee within the City of Alameda , has announced its intention
to merge with Comcast Corporation; and
WHEREAS , under the terms of the franchise agreement with the City of Alameda
the City Council must approve of any changes in control through sale or merger.
NOW , THEREFORE , BE IT ORDAINED by the Council of the City of Alameda
that:
Section 1.The Franchise Authority hereby conditionally consents to and approves
the change of control of the Franchisee from AT&T Corporation to AT&T Comcast Corporation
to the extent that such consent is required by the terms of the Franchise Agreement and applicable
law. Said conditionto bethafall outstanding franchise fee audit issues will be fully and completely
addressed in conformance with the Franchise Agreement to the satisfaction of the City Manager
whose approval shall not be uneasonably withheld , within six months of the effective date of this
ordinance.
Section 2.This ordinance shall be in full force and effect from and after the
expiration of thirty (30) days from the date of its final passage.
