Ordinance 3093CITYOFALAMEDAORDINANCENO.3093 NewSeries APPROVINGALEASEANDAUTHORIZINGTHECITYMANAGERTO EXECUTEDOCUMENTSNECESSARYTOIMPLEMENTTHETERMSOF ALEASEWITHNAVIGATORSYSTEMSFORSEVENYEARSWITHAN ADDITIONALFIVEYEAROPTIONINBUILDING14LOCATEDAT1800 FERRYPOINTATALAMEDAPOINT WHEREAS,NavigatorSystemsisoneoftheoriginaltenantsatAlamedaPoint executingtheirfirstleaseinJanuary1997;and WHEREAS,THECitywishestoencouragelocalartisans;and WHEREAS,NavigatorSystemsisanincubatorenvironmenttoprovideproductive, collaborativeandpromotionalfacilitiesfordesigners,craftworkers,artists,engineers, musicalinstrumentrestorationspecialistsandlightartisanalmanufacturing;and WHEREAS,theCityhasrightstoleasethisproperty.Itrepresentsaretentionofan existingpursuanttoaleaseinfurtheranceofconveyance(L1FOC)wherethefederal governmentasownerauthorizetheCitytoleasethepropertytotheL1FOCrests;and WHEREAS,theCityhopestoofferNavigatorsonanas-neededbasis,spacefor outdooractivitiesandexhibitsasAlamedaPointbecomesmorepopulatedand developedintoa"gatheringplace"forresidentsandvisitors;and WHEREAS,theleaseisforsevenyearswithanadditionalfiveyearoption;and WHEREAS,thepremiseisinBuilding14locatedat1800FerryPoint;and WHEREAS,theannualbaserentis$89,880formonthsonetotwenty-four;$92,124 formonthstwenty-fivetothirty-six;$94,428formonthsthirty-seventoforty-eight; $96,792formonthsforty-ninetoSixty-six;$$99,216formonthsSixty-onetoseventy-two and$101,688formonthsseventy-threetoeighty-four;and WHEREAS,thetenantshallpayallcostsforservicesandutilitiestothePremisesas definedintheLease;and WHEREAS,thetenantshallpayalltaxes(includingpossessoryinteresttaxes) leviedonoragainstthePremisesoritspersonalproperty;and WHEREAS,undertheleasethetsnantisnotrequiredtomakeasecuritydeposit andtheleasecontainsthestandardinsurance,indemnity,assignmentandtermination clausesandcompliantwiththeLeaseinFurtheranceofConveyance(L1FOC). NOWTHEREFORE,BEITORDAINEDbytheCityCounciloftheCityofAlameda thatbyfouraffirmativevotesthat: Section1.TheCityManageroftheCityofAlamedaorhisdesigneeishereby authorizedtonegotiate,execute,forandonbehalfoftheCityofAlameda,aleasewith NavigatorSystemsforsevenyearswithanadditionalfiveyearoptioninBuilding14 locatedat1800FerryPointatAlamedaPoint,subjecttosuchtechnicalorclarifying revisionsasarereasonablydeterminednecessarybytheCityManagerandapproved bytheCityAttorney,andtheCityClerkisherebyauthorizedanddirectedtoattesttothe same. Section2.Ifanysection,subsection,sentence,clause,orphraseofthisordinance, foranyreason,isheldtobeinvalidorunconstitutional,suchdecisionshallnotaffectthe validityorconstitutionalityoftheremainingportionsofthisordinance.TheCityCouncil oftheCityofAlamedaherebydeclaresthatitwouldhavepassedthisordinance,and eachsection,subsections,clause,orphrasehereof,irrespectiveofthefactthatanyone ormoresections,subsections,sentences,clauses,andphrasesaredeclaredtobe invalidandunconstitutional. Section3.Thisordinanceshallbeinfullforceandeffectfromandafterthe expirationofthirty(30)daysfromthedateofitsfinalpassage.
