Ordinance 3092CITYOFALAMEDAORDINANCENO.3092 NewSeries APPROVINGCONVEYANCEOFAPPROXIMATELY20ACRESOFPROPERTYFROM THECITYOFALAMEDATOHOUSINGAUTHORITYOFTHECITYOFALAMEDAAT THEFORMERNAVALAIRSTATION(ALAMEDAPOINT) WHEREAS,theCityofAlamedaispartytoanagreementwiththeAlamedaUnified SchoolDistrict("District")datedMarch28,2000,relatingtoclosureoftheAlamedaNavalAir StationandFleetIndustrialSupplyCenter(the"MastickAgreement");and WHEREAS,theandHousingAuthorityoftheCityofAlameda("Authority") togetherassuccessorstotheCommunityImprovementCommissionoftheCityofAlameda ("RedevelopmentAgency"),andtheDistrictarepartiestoanagreementpursuanttoHealthand SafetyCodeSection33401datedNovember12,1991,relatingtoredevelopmenttaxincrementpass- throughpayments(the"Pass-ThroughAgreement")tomitigatethefinancialimpacttotheDistrict resultingfromthediversionofcertainrealpropertytaxrevenues(commonlyknownas"Tax IncrementRevenues")totheCity'SRedevelopmentAgency;and WHEREAS,Alsx.landAB1484endedredevelopmentinCaliforniaandsetin placeacomplexprocessfordissolvingredevelopmentagenciesandterminatingtaxincrement revenuesasaresultofwhich,continuedimplementationofthePass-ThroughAgreementisuncertain andwithinthecontroloftheofCaliforniaDepartmentofFinance("DOF");and WHEREAS,theDOFhasdeterminedthatanaccountaccumulatedpursuanttothe Pass-ThroughAgreementtotalingapproximately$4.6Million(the"HousingAssetFund")heldby theAuthority(asthesuccessorhousingagency)intrustfortheDistrictisa"housingasset"as definedinAB1484.Assuch,thosehousingassetfundsarerestrictedandmayonlybeusedto provideaffordablehousingfortheresidentsoftheCityofAlameda;and WHEREAS,theAuthoritydesirestoutilizetheHousingAssetFundasexpeditiously aspossibletoavoidanyfutureattemptsbytheStateofCaliforniatotakethosefundsforotherState purposes.TofacilitateuseoftheHousingAssetFundforeligibleprojects,theCity,Districtand AuthorityintendtoenterintothetransactionssetforthintheSettlementAgreementwhichwillresult intheAuthoritybeingabletoprovideadditionalaffordablehousingfortheresidentsoftheCityof Alameda;and WHEREAS,tomeetcertainpublicentityfacilitiesneedstheCity,undertheMastick AgreementconveyedtwoparcelslandtotheDistrict(the"TidelandsParcels")inexchangefor whichtheDistrictconveyedtotheCitytheformerMastickElementarySchoolsite;and WHEREAS,asaresultofsignificantlegalissuesrelatingtotitletotheTidelands Parcel,fullconsiderationtotheDistrictforitsconveyanceoftheMastickElementarySchoolsite hasnotbeenfulfilled.TheCityhascompletedsignificantenvironmentalandplanninganalysesand hasidentifiedrealpropertythatmoreproperlymeetstheDistrict'sneedsforpubliceducation facilities.TheCityintendstosubstituteconveyanceoftheTidelandParcelsandthepending conveyanceofanadditional12siteascontemplatedbytheMastickAgreementwith conveyanceofapproximatelytwenty(20)acresofrealpropertylocatedatAlamedaPoint ("AlamedaPointProperty");and WHEREAS,forpurposesofclarifyingandimplementingthepartiesrights,dutiesand obligationsundertheMastickAgreementandPass-ThroughAgreement,andinsettlementofcertain disputesthathavearisenthereunder,thepartieshaveenteredintoaSettlementAgreement AuthorizingCertainRealandPersonalPropertyExchangesbyandAmongtheCityofAlameda, HousingAuthorityoftheCityofAlamedaandAlamedaUnifiedSchoolDistrict(the"Settlement Agreement");and WHEREAS,underthetermsoftheSettlementAgreementtheCityistoconveythe AlamedaPointPropertytotheAuthority,andtheAuthorityagreestoconveytheAlamedaPoint PropertytotheDistrict.InexchangefortheAlamedaPointProperty,theDistrictshallprovidean AssignmenttotheAuthorityoftheHousingAssetFundandenterintoapurchaseandsale agreementwiththeAuthorityfortherealpropertylocatedat2437EagleStreetinAlameda,CA,and commonlyknownastheIslandHighSchoolSite. NOW,THEREFORE,BEORDAINEDbytheCityCounciloftheCityof Alamedathatbyfouraffirmativevotesthat: Section1.TheCityManageroftheCityofAlamedaorhisdesigneeishereby authorized,subjecttoapprovalbytheCityAttorney,toexecuteanddeliver,forandonbehalfofthe CityofAlameda,aquitclaimdeedfortheAlamedaPointPropertyconveyingittotheHousing AuthorityoftheCityofAlameda. Section2.Ifanysection,subsection,sentence,clause,orphraseofthisordinance,for anyreason,isheldtobeinvalidorunconstitutional,suchdecisionshallnotaffectthevalidityor constitutionalityoftheremainingportionsofthisordinance.TheCityCounciloftheCityof Alamedaherebydeclaresthatitwouldhavepassedthisordinance,andeachsection,subsections, clause,orphrasehereof,irrespectiveofthefactthatanyoneormoresections,subsections, sentences,clauses,andphrasesaredeclaredtobeinvalidandunconstitutional. Section3.Thisordinanceshallbeinfullforceandeffectfromandafterthe expirationofthirty(30)daysfromthedateofitsfinalpassage.
