ALAMEDASEWERIMPROVEMENTFINANCINGCORPORATION RESOLUTIONNO.90-2 APPROVING,AUTHORIZINGANDDIRECTINGEXECUTIONOFCERTAIN LEASEFINANCINGDOCUMENTSANDAUTHORIZINGANDDIRECTING CERTAINACTIONSWITHRESPECTTHERETO RESOLVED,bytheAlamedaSewerImprovementFinancing Corporation(the"Corporation"): WHEREAS,theCityofAlameda(the"City"),workingtogether withtheCorporation,isproposingtoproceedwithalease financing;and WHEREAS,inconnectiontherewith,theCityproposestofinance theconstructionofcertainimprovementstothepolice administrationbuildingandtheacquisitionofcertainequipment (the"Project"),anditisinthepublicinterestandforthe publicbenefitthattheCorporationauthorizeanddirectexecution oftheLeaseAgreement(ashereinafterdefined)andcertainother financingdocumentsinconnectiontherewith:and WHEREAS,thedocumentsbelowspecifiedhavebeenfiledwith theCorporation,andthemembersoftheCorporation,withtheaid ofitsstaff,havereviewedsaiddocuments: NOW,THEREFORE,itisherebyORDEREDandDETERMINED,as follows: section1.Thebelow-enumerateddocumentsbeandarehereby approved,andthePresident,Vice-President,TreasurerorExecutive Directorisherebyauthorizedanddirectedtoexecutesaid documents,withsuchchanges,insertionsandomissionsasmaybe approvedbysuchofficial,andtheSecretaryoftheCorporationis herebyauthorizedanddirectedtoattesttosuchofficial's signature: deedandacquisitionagreement,betweentheCity,as theCorporation,aspurchaser,pursuanttowhichth~ sellcertainimprovementswithintheCity(the< t?theCorporation,whichtheCorporationwillleas~ c~ty;0 ::0 (b)aleaseagreement,relatingtotheProperty,betweenth~ Corporation,aslessor,andtheCity,aslessee(the"Lease Agreement"); (a)a seller,and Citywill "Property") backtothe (c)atrustagreement,byandamongtheCorporation,theCity andsecurityPacificNationalBank,SanFrancisco,California,as trustee(the"Trustee"),relatingtothefinancingandthe executionanddeliveryofcertificatesofparticipationevidencing thedirect,undividedfractionalinterestoftheownersthereofin leasepaymentstobemadebytheCityundertheLeaseAgreement; and (d)anassignmentagreement,byandbetweentheCorporation andtheTrustee,pursuanttowhichthecorporationwillassign certainofitsrightsundertheLeaseAgreement,includingits righttoreceiveleasepaymentsthereunder,totheTrustee. section2.ThePresident,Vice-President,Treasurer, ExecutiveDirector,secretaryandotherofficialsofthe Corporationareherebyauthorizedanddirectedtoexecutesuch otheragreements,documentsandcertificatesasmaybenecessary toeffectthepurposesofthisresolutionandtheleasefinancing hereinauthorized.
