Resolution 14993CITY OF ALAMEDA RESOLUTION NO. 14993 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ALAMEDA RELATING TO THE SECURITIES AND EXCHANGE COMMISSION MUNICIPALITIES CONTINUING DISCLOSURE COOPERATION INITIATIVE WHEREAS, the City has issued certain municipal securities in order to finance various City facilities and projects; and WHEREAS, in connection with the issuance of such municipal securities, the City has entered into continuing disclosure agreements pursuant to Rule 15c2 -12 (the "Rule ") of the Securities and Exchange Commission (the "SEC "); and WHEREAS, the SEC has announced a Municipalities Continuing Disclosure Cooperation (the "MCDC Initiative ") which allows underwriters and issuers of municipal securities, such as the City, to self - report any instance in which an issuer stated that it had complied with its continuing disclosure agreements during the last five years when, in fact, it had not fully done so; and WHEREAS, City staff has conducted a review of the City's compliance with its continuing disclosure obligations and determined that the City participate in the MCDC Initiative with respect to the issues listed on Exhibit A attached hereto (the "Issues "); and WHEREAS, on December 1, 2014, the City Manager, on behalf of the City, made voluntary filings under the MCDC Initiative with respect to the Issues. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Alameda as follows: Section 1. MCDC Initiative. The Council hereby accepts the recommendations of City staff with respect to the MCDC Initiative, acknowledges and understands the consequences of self - reporting under the MCDC Initiative and ratifies the action by the City Manager to make the voluntary filings under the MCDC Initiative with respect to the Issues. Section 2. Official Actions. The Mayor, the City Manager, the Finance Director and the City Clerk, and any and all other officers of the City, are hereby authorized and directed, for and in the name and on behalf of the City, to do any and all additional things and take any and all additional actions, which they, or any of them, may deem necessary or advisable in furtherance of the intent of this Resolution. Section 3. Effective Date. This Resolution shall take effect immediately upon adoption.
