Flint Executive Director 3 -A SUBJ: Recommendation to Authorize the Executive Director to Approve a Contract Amendment with William A. Barnes in the Amount of $120,000 for Consulting Services and Master Planning in the Development of Alameda Point BACKGROUND In March, 2002, William A. Barnes joined the City's Master Developer negotiating team as a resource person to help evaluate the business implications and strategy aspects of the development disposition and proposals being discussed between the ARRA and Alameda Point Community Partners (APCP). At this time, staff is recommending an amendment that will extend the contract for another year during the negotiation period. Mr. Barnes has significant experience in overseeing complex real estate projects and negotiating deals which ensure lasting benefits for the community. DISCUSSION Mr. Barnes will provide to the ARRA consulting services in the area of negotiations and development of a business plan for the redevelopment project with a focus on the deal structure. He has worked as a private developer and in government organizations involving complex land use transactions. He is familiar with the needs and constraints of both the ARRA and APCP and will assist in moving the negotiation process through its varying deal points. Mr. Barnes will work with City staff to ensure that both parties have the opportunity to achieve their development objectives. FISCAL IMPACT Pursuant to the January 2, 2002 Exclusive Negotiating Agreement between the City /ARRA and Alameda Point Community Partners (APCP), these consultant costs in the amount of $120,000 are fully reimbursable through cost recovery. Therefore, there is no fiscal impact to the ARRA or City budget. Flint Executive Director 3 -B SUBJ: Report and Recommendation from the Executive Director that the ARRA Governing Body Authorize the Executive Director to Enter into a $450,000 Contract with Keyser Marston Associates, Inc. for Economic Consulting Services for Negotiating Disposition and Development of Alameda Point Background On October 20, 2000, the City of Alameda Development Services Department released a Request for Statement of Qualifications (RFQ) for qualified land use economic and financial consultants to provide a range of professional services related to the selection of a master developer and negotiating agreements for the disposition of land for Alameda Point. Development Services Department staff concurred that the consultant team from Keyser Marston Associates, Inc. most closely met the City's needs, based on its responsiveness to the RFQ, its understanding of the function and requirements of the City, as well as accomplishing work of a similar nature, including references from clients and work samples and billing rates. Discussion At its December 27, 2000 meeting, the ARRA Governing Board approved the selection of Keyser Marston Associates, as its economic consultant. A $100,000 contract was approved in December 2000. Pursuant to this contract, Keyser Marston has provided economic consulting services relating to Alameda Point negotiations, which includes negotiating agreements for the disposition of approximately 800 acres of former U.S. Navy property for mixed -use development. The attached contract has been prepared for the current fiscal year. The consultant agreement includes the new scope of services, which is expected to be perfoimed by the consultant, as directed by the ARRA, for the purposes of disposition and financial advice. A summary of these ongoing consulting services includes: analyzing financial and disposition issues; preparing financial models; conducting economic feasibility studies; reviewing projected land and financing development costs; evaluating alternative Dedicated to Excellence, Committed to Services Honorable Chair and Members of the Alameda Reuse and Redevelopment Authority April 24, 2003 Page 2 financing options; assisting legal counsel in drafting documents; and assisting staff in negotiating with APCP. City of Alameda Inter- Office Memorandum April 24, 2003 To: Honorable Chair and Members of the Alameda Reuse and Redevelopment Authority From: James M. Flint Executive Director 3 -C Re: Report from the Executive Director Regarding the Request by Super -Moto Productions, Inc. to Hold a Motorcycle Race at Alameda Point Background Super -Moto Productions, Inc. has requested to hold a charity motorcycle race at Alameda Point in the month of November 2003, to benefit the Clayton Memorial Foundation, an organization that provides assistance to motorcycle racers who have been injured while racing. The proposed site for this supermoto race would be in the runway area of Alameda Point, commonly referred to as the Northwest Territory. Supermoto race tracks are composed of both dirt and pavement. The race is a one day event; however, it will take five or six days to install the temporary bleacher stands and another two or three days to dismantle them after the race. Discussion Representatives from APCP, acting as ARRA's property management agent, submitted the request for the Supermoto event to the City's Development Review Team at its April 16 meeting. As part of that review, it was noted that, from a traffic perspective, the promoter of this event has given evidence that they have a fan base of between 10,000 and 15,000 people that would attend this event. Even though this event is proposed for a Sunday, the traffic impacts at Webster St. and Atlantic Avenue would be substantial. Therefore, Jerry Cormack, Development Review Manager as Chair of the DRT, does not recommend approval of this event. In addition, the Risk Manager has concerns based on past experience and the fact that motorized racing events are specifically excluded in our excess liability risk — sharing pool. Therefore, the Risk Manager recommends denial of this request. Environmental risks associated with this event are also a concern. The runway area of Alameda Point currently has three Installation Remediation Program (IRP) sites located within the area. These sites are located in exposed dirt with low growing vegetation, making the area accessible to people walking or vehicles driving on this area. According to APCP, the Navy would not approve of this event at this time. Because a Supermoto event usually has a 20% dirt track, the promoter would need to import that dirt, potentially creating additional risks regarding the nature of the imported dirt, the possibility of that dirt being co- mingled with on -site contaminated dirt, etc. Dedicated to Excellence, Committed to Service Honorable Chair and Members of the Alameda Reuse and Redevelopment Authority Fiscal Impact April 24, 2003 Page 2 Super -Moto Productions has verbally indicated a willingness to a pay a license fee of no more than $10,000 for eight days use of the site. Denial of the request to utilize a portion of the Northwest Territory for a supermoto race will not adversely impact the ARRA as $10,000 is not a substantial amount of money in consideration for the potential risks and disruptions from such an event. Recommendation The Executive Director recommends that this request to hold a supermoto race at Alameda Point be denied based on the potential for risk exposure to the ARRA as well as the risk of disruption of the enviromnental Installation Remediation sites at the Northwest Territory. We believe this event, a benefit for the Clayton Memorial Foundation, will bring thousands of people into Alameda willing to spend fair amounts of their discretionary income. This would be a great contribution to the city economy. The series is scheduled to begin in late spring, and AMA Pro Racing plans a complete press conference and introduction during Daytona Bike Week in March. According to Scott Hollingsworth, CEO of AMA Pro Racing, the new series already has the support of the major OEMs as well as a number of national sponsors. This exciting form of racing traces it's roots back to the original Superbikers series on ABC and has boomed in popularity in Europe and now America. Market forces - including racers, bike makers, the motorcycle aftermarket and even sponsors have "demanded" an official AMA U.S. Championship and AMA Pro Racing is delivering. We are in the process of developing a 6 race series for the 2003 season and have a few dates leading up to the November finale open. qi Series Basics Machinery The AMA national championship will be based on 450cc Motocross bike platforms. Though pretty liberal modifications will be allowed — playing to the high-tech exotic trickery developed by the aftermarket performance industry, the bikes general appearance will be stock in terms of frames and plastic. We will also run an open displacement support class and one jr. exhibition class as part of the program. Talent — riders and teams We expect a great line-up of recognized stars in the sport of motorcycle racing - both current and recent past champions to compete in a number of the AMA Supermoto events. We also expect to have a number of professionally run, factory-backed teams. A total of 11 manufacturers/distributors have contacted us about running a factory-backed effort in the series. AMA Pro Racing will handle all rider licensing, sign-up and event entry activities. Promoter will have the rights to the event title sponsorship and retain the revenue from such sponsorship. Commercial inventory on and around the track will be allocated to the promoter for implementation of the event title sponsorship. We are working with a number of companies interested in supporting the series with event title sponsorships. Initial research suggests the event title sponsorship with all of the TV exposure value factored should be worth $5,000 to $12,000 per event. Promoter will have the rights to event merchandise. AMA Pro Racing will have the rights to series merchandise and AMA cross-licensed merchandise (non-event merch). Our goal is to have a unified merchandising strategy that drives revenue to both the promoter and the series. Sanction fee / rider purse will be paid to AMA Pro Racing by promoter. Flint Executive Director 3 -C Re: Report from the Executive Director Regarding the Request by Super -Moto Productions, Inc. to Hold a Motorcycle Race at Alameda Point Background Super -Moto Productions, Inc. has requested to hold a charity motorcycle race at Alameda Point in the month of November 2003, to benefit the Clayton Memorial Foundation, an organization that provides assistance to motorcycle racers who have been injured while racing. The proposed site for this supermoto race would be in the runway area of Alameda Point, commonly referred to as the Northwest Territory. Supennoto race tracks are composed of both dirt and pavement. The race is a one day event; however, it will take five or six days to install the temporary bleacher stands and another two or three days to dismantle them after the race. Discussion Representatives from APCP, acting as ARRA's property management agent, submitted the request for the Supermoto event to the City's Development Review Team at its April 16 meeting. As part of that review, it was noted that, from a traffic perspective, the promoter of this event has given evidence that they have a fan base of between 10,000 and 15,000 people that would attend this event. Even though this event is proposed for a Sunday, the traffic impacts at Webster St. and Atlantic Avenue would be substantial. Therefore, Jerry Cormack, Development Review Manager as Chair of the DRT, does not recommend approval of this event. In addition, the Risk Manager has concerns based on past experience and the fact that motorized racing events are specifically excluded in our excess liability risk — sharing pool. Therefore, the Risk Manager recommends denial of this request. Environmental risks associated with this event are also a concern. The runway area of Alameda Point currently has three Installation Remediation Program (IRP) sites located within the area. These sites are located in exposed dirt with low growing vegetation, making the area accessible to people walking or vehicles driving on this area. According to APCP, the Navy would not approve of this event at this time. Because a Supermoto event usually has a 20% dirt track, the promoter would need to import that dirt, potentially creating additional risks regarding the nature of the imported dirt, the possibility of that dirt being co- mingled with on -site contaminated dirt, etc. Dedicated to Excellence, Committed to Service Honorable Chair and Members of the Alameda Reuse and Redevelopment Authority Fiscal Impact April 24, 2003 Page 2 Super -Moto Productions has verbally indicated a willingness to a pay a license fee of no more than $10,000 for eight days use of the site. Denial of the request to utilize a portion of the Northwest Territory for a supermoto race will not adversely impact the ARRA as $10,000 is not a substantial amount of money in consideration for the potential risks and disruptions from such an event. Recommendation The Executive Director recommends that this request to hold a supermoto race at Alameda Point be denied based on the potential for risk exposure to the ARRA as well as the risk of disruption of the environmental Installation Remediation sites at the Northwest Territory.
