Onrequest,CityEngineerHannareportedacommitteehadbeensetuponthisprojectandthefirstmeet- ingheld.Twotwelve-year-oldgirlsofagroupofsevenwhohadindicatedinteresthadbeenpresent. Mr.Hannastatedonthisdatetwomeetingshadbeenheld,oneatKaiserCenterfortheirpresentationon thealuminumcandrive,andthenthesecondcommitteemeetingintheCityHallonthewholesubject.He saidtheproblemwasaverybroadone;therewasnotasmuchdemandforthesalvablematerialsasmight beexpectedandthereweremanyconflictingideasandstatements. IthadbeendecidedtostartwithtelephonebookssincethenewbooksforAlamedahadjustbeendelivered, anditwasfeltthiscouldbeameasureoftheinterestofthecommunity.Aprogramhadbeensetupto haveadropboxinfrontoftheCityHallforoneweek,withpublicity,andeveryonewasinvitedto deposithisoldphonebookinthebox.Mr.HannasaidtheAlamedaCityDisposalwouldplaceaboxatthe designatedlocationonFridayafternoonandpickitupninedayslateranddeliverthematerialtothe BayCitiesPaperCompany.HesaidanothermeetinghadbeensetupforWednesday,June3,onthesubject. Itwasdirectedthatthecommunicationbereferredtothefileonthematter,forreportandrecommendation uponcompletionofthestudythereon. 5.(FromAlamedaPoliceAssociation,signedbyMr.PatrickM.McDermott,President,regardingthe VeteransAssistanceTrainingProgram. PresidentLaCroixrecalledthismatterhadbeendiscussedbytheCouncilatitsmeetingofDecember16, 1969,atwhichtime it hadbeenreferredbacktothestaffforfurtherstudyandreport.Therehadbeen somequestiononthepartofmembersoftheCouncilastowhetherthiswasavalidagreementintowhich theCityCouncilmightenter,wherebywarveteranswouldreceivetrainingintheCitypoliceandfire fighterforcesandreceivebenefitsalongwiththenormalsalary.ematterhadbeengivenstudyby AssistantCityManagerJohnGossandaresolutionhadbeenpreparedforpossibleactionbytheCouncil. TheCouncilmenwereinvitedtocomment. CouncilmanLongakersaidthequestionshehadhadonthissubjecthadbeensatisfactorilyansweredby Mr.Goss. CouncilmanMcCallstatedhebelievedwhenthematterhadbeenconsideredpreviouslytheCouncilhad wishedtobesurethisprogramwasbeingadoptedinothercommunities,sothatacompetitivesituation wouldnotbesetup.HesaidhehaddiscussedthematterwiththeCityManagerofRichmondandthe AssistantCityManagerofOakland,whohadexplainedtheirprograms,whichwereexactlythesameashad beenrecommendedfortheCityofAlameda. CouncilmanMcCallsaidhehadinquiredoftheseniormembersoftheAlamedaPoliceDepartmentifthey felttheremightbeanyanimosityiftheyoungmenwhowerequalifiedfortheprogramweretoreceive thisadditionalbenefit,whichwouldinvolvenocosttothetaxpayersoftheCitybecauseoftheway theprogramwassetup.Hehadalsoinquiredhowthenewofficerscomingintotheforcewhowouldnot benefitbytheprogramwouldfeel.Hehadbeengiventheprivilegeofinformingtheothermembersof theCouncilthatallapprovedoftheprogram. TheClerkstatedtherewasonfiletheAffidavitofPublicationoftheNoticethatthiswouldbethetime andplaceforHearinginthematter,andtheminutesofthePlanningBoardmeetingatwhichthepetition wasconsideredhadbeensenttotheCouncilmen. Mr.StanleyD.Whitney,AttorneyrepresentingMr.andMrs.Hipol,suggested,inasmuchastherewasalarge crowdpresentinconnectionwiththenextmatterontheagenda,thathewouldbegladtoallowthatmatter tobeheardanddisposedoffirst.PresidentLaCroix,however,saidhefeltHearingNo.1wouldnottake asmuchtimeasthesecondHearingandthereforethemeetingwouldadheretotheagenda. Mr.DonaldJohnson,PlanningDirector,wascalledontoreviewtheapplicationandtheactionoftheBoard thereon,assetforthintheBoard1sletterofApril23,1970.Hesaidtherehadbeentwopreviousre- zoningapplicationsandhearingsonthisproperty,inallthreeinstancesthechangerequestedhadbeen thesame,andtheBoard1srecommendationineachcasehadbeenfordenial. Mr.Johnsonsaidtherewerepointsonbothsidesandtherewasnorealprofessionalplanningrecommendation tobemade.Hesaidthedwellingonthepremiseswasinexcessofseventyyearsold,thestructurehad deterioratedandwasleaningonthepropertylyingimmediatelytotheeast.Theproposalwastoerecta four-unitcondominiumtownhousedevelopmentasillustratedinarenderingpostedontheboard.Thestaff foundtherewasacertainargumenttopermitthistypeofdwellingandalsoacertainargumentinfavorof theneighborhood,whereresidentsfeltthepropertyshouldberetainedintheIIR-11Izonebutthedwelling shouldberehabilitatedforsingle-familyuse.Hesaidthelotcontained10,080squarefeet. CityAttorneyCunninghamstatedtheBoardhavingrecommendeddenialofthezonechange,theissuebefore theCityCouncilwaswhetherthefindingsandrecommendationsofthePlanningBoardanditsadvisoryreport, baseduponSection11-175oftheAlamedaMunicipalCode,shouldbesustained,modifiedoroverruled.Should theCouncildecidetooverruletheBoard,anordinancehadbeenpreparedforintroductiontoeffectthe reclassification. Onthecallforproponents,Mr.WhitneycameforwardtorepresentMr.andMrs.HipolandtheD.B.Bitner Company,whowereinterestedinacquiringtheproperty. Mr.WhitneysubmittedsnapshotsfortheCounciltoview,indicatingtheconditionofthedwellingin question,andinvitingcomparisonwiththeproposedconstructionshownintherenderingdisplayed.Hesaid ifthebuildingshouldbedemolisheditwouldbeentirelyimpracticaltobuildasingle-familydwellingon thepropertyasthecostwouldbeprohibitive,asitwouldbetotrytorestorethebuildingtolivable condition.Mr.WhitneysaidMr.andMrs.Hipolwereelderlyanddidnothavethefinancestokeepupthe propertynortokeepupthepaymentsontheexistingmortgage.D.B.BitnerCompanyhadenteredintoa contracttoacquirethepropertytorazethebuildinganderectthefour-unitcondominiumproposed.which wouldbe very attractiveandcertainlyanassettothearea,withadequateoff-streetparking. Mr.WhitneypointedoutthatmuchofthepropertyonBroadway,aroundthecornertothenorth,contained apartments.Thecondominiumunitswouldbeacquiredandownedbyindividuals.Thiswouldeliminatethe fearpeoplehadofanapartmenthousebeingbuiltOnthepropertywithaconstantturnoveroftenants. Hesaidmuchoppositionhadbeenraisedtotheprojectbuthebelievedagreatdealofitwasbasedupon fearandnotuponfact.Hesaidtherewasnoreasonthereshouldbefearofhavingagood,modernand attractiveimprovementonthelandinplaceofthepresentdeterioratedoldstructure. Mr.WhitneysaidhefeltMr.andMrs.Hipol,ofPhilippineextraction,hadsomerightsinthematter. ItshouldbeconsideredthattheyhadaneconomicinterestintheCityofAlamedaandintheproperty theyownandweretryingtosalvagethemoneytheyhadputintoit.Hepointedoutthattheneighboring homesonSanJoseAvenuewere very niceandwellmaintained,exceptforthesubjectproperty,andifit wererazedandanewbuildingerecteditwouldaddtothewholeneighborhood.createanenhancingnewlook intheareaandincreasethevalueofsurroundingproperties. PresidentLaCroixinquiredifthepetitionershadeverattemptedtosellthepropertyasasingle-family residence.Mr.Whitneysaidthiscouldnotbedone-thepropertywasintoobadastateofrepair,no onewouldbuyit. Councilman Levy inquiredwhattheplanswereforprovidingoff-streetparking.Mr.Whitneystatedthere wouldbeadequateparkingforeachunit.Itwaspointedoutitwouldbenecessarytoconformtothe ordinancerecentlyadoptedonthissubject. Mr.JohnBarni,Jr.,1825Clinton Avenue,saidherepresentedtheHipolsasaRealEstateBroker.Hesaid thelasttimerezoningofthispropertyhadbeenconsideredhehadbeenthepetitioneraskingtorezone thepropertytotheIR-4"Districttoconstructasix-unitapartmenthouse.ThenightoftheHearing,he hadaskedthatthematterbedroppedandtherezoningmatternotbecontinuedanyfurtheraSiith~rewas directoppositionintheneighborhood.Heexpressedtheopinionthatitwasashametoclasstfythepresent proposalasarezoningrequest,aswhatwasdesiredwastoconstructthefour-unitcondominium.Hepointed outthiswaspermittedonBayFarmIslandunder"R_PPlannedDevelopment,andtheonlywaytobeableto constructacondominiumontheCitymainlandwasto have thezonechangedtomultipledwelling -c'l assi f+ca- tion.Mr.Barnisuggestedthatpossiblyafour-dwellingcondominiumconceptsuchasproposedwouldprovide areuseofthelandwhichwouldbeinthebestinterestsofthecommunity. PresidentLaCroixexp1ained,inspeak;ngofcondominiumsasopposedtoapartmenthouserentaFareas.that thecondominiumwassolelyafinancingtermusedinthepurchaseofproperty-ithadnothingreallytodo withzoningasfarasmultipleunitsorsingle-familystructureswereconcerned. Onthecallforopponents,Dr.NeylanVedros,2625SanJoseAvenue,cameforward.Hesaidhisposition andthatofhisfellowresidentswasclearonthisissueaspresentedbeforethePlanningBoardandthe Councilontwopreviousoccasions.Hefeltitwasnotnecessarytogo over allthedetailspresented inconnectionwiththepreviousapplications.Hesaid,however,therehadbeensomepointswhichhad comeoutattheBoardHearingwhichmightbeofinteresttotheCouncil-first,practicallyallofthe residentsofthearea.aboutfiftytofifty-five,wereagainopposedsimplytorezoningthepropertyto IIR_4".Secondly,thistimeBroadwayresidentslivingnexttothemultipledwellingsonthatstreethad turneduptotestifyagainsttherequest.Hesaidtheladynextdoortothemultipledwellingoffered forsalebyMr.Bitnerwouldhaveherbackyardcompletelyenclosedbymultipledwellingsandshehad opposedtheproposal very strongly. Dr.Vedrossaid,tohisknowledge,thepropertyinquestionhadneverbeenupforsaleasan"R-l"zoned parcel.Hesaidhishomewasexactlythesamesizeastheoneunderconsiderationonthesame'sizedlot, purchasedasan"R-l"dwelling,andhehadfixeditup.Hethereforefelttheownershadnotdemonstrated ahardshipontheirpartinnotbeingabletosellthepropertyinthiszoningcategory,andhefeltthis questionwascrucialtotheissue.Also,therehadneverbeenaquestionofthehealthhazardofthe property,assuch.IthadnotbeenbroughttotheattentionoftheCityforviolationofsanitarycodes, thehousehadbeenleaningagainsttheadjacenthomeforyearsandtheneighborshadnotobjectedtothis fact.Hefeltthiswasimportantinconsideringtheconditionoftheproperty.Hesaidhefeltthe objectionwastomovingtheIR-4"zoneonemorelotfromBroadwayandthat,ingeneral,thedensityinthe neighborhoodwasbeingincreased.Dr.Vedrossaidherealizedtheproblemwasaneconomiconebuthefelt theotherresidentsoftheneighborhoodshould have asayinthewaytheareawasstructured.Hesaidhe wouldappreciatetheCouncilISvotingtoupholdtheactionofthePlanningBoardanddenythepetition. Mr.IraPlummer,2631SanJoseAvenue,deploredtheproposaltoconstructapartmenthousesagainstthe willofthepeopleintheneighborhood.Hesuggestediftheownersofthesubjectpropertycouldnot repairthedwellingtheycouldcertainlyconstructoneortwocottagesonthepropertyratherthanto haveanapartmenthouse. Mr.GeneGetz,2618SanJoseAvenue,expressedagreementwiththepreviousspeakers.Mr.HaroldLeyh, 2719CalhounStreet,expressedhisoppositiontotheproposedrezoning.Hesaidtherewouldbenosafe- guardastotheprecedentapprovalofthepetitionwouldset. Mrs.HelenLarsen,1259St.CharlesStreet,saidshefeltthismatterwasapartofamuchlargerissue, thematterofdensityofhomesintheCityofAlameda,withwhichagreatmanypeoplewereconcernedin theirdesiretokeepthequalityoflifeintheCitythewayithadbeenasaresidentialcommunity. Mr.Whitneywasgrantedtheopportunityforrebuttal.Hecommentedthatsomeoftheobjectorsspeaking againsttherezoningand33personswhohadsignedthepetitionopposingtheproposal,didnotlivein thevicinityofthesubjectproperty.Heexpressedtheopinionthatthepeopleintheimmediateareawere mistaken,thattheywouldnotbehurtbytheproposedchange;rather,theirpropertieswouldbeimproved andthevaluewouldbeincreased. Dr.Vedroswasalsograntedtheopportunityforrebuttal.Hesaid(1)Mr.Whitneydidnotliveanywhere neartheinvolvedareasohehadnorighttotalkashedidand(2)ashehadmentioned~everypossible signaturehadbeenobtainedonthepetitionbutagain,whatwasbeingdiscussedwasadensitytowardthe OtisSchool.Everyonetowhomhehadspoken,fromBroadwaytowardHighStreetandOtisSchool,was concernedwiththesituation,soitwasnotaquestionofresidentscontiguoustotheinvolvedproperty. TheHearingwasdeclaredclosed.CouncilmanMcCallinquiredofMr.Johnsonif,atthePlanningBoard Hearing,therehadbeenanydiscussionwithregardtosplittingthelotandplacingtwosingledwellings onit.Hesaidhewonderedifthismightbethepositionoftheneighborsandifthismightbean alternativewhichwouldsatisfytheneedandeliminatetheopposition. Mr.JohnsonsaidtheissuehadnotbeenraisedattheBoardHearing.However,hesaidtherewasalwaysa chancethatthiswouldbeacceptable.SuchaplanwouldrequirespecificexceptionfromboththeBoard andtheCounciltosubdividealotastherewouldbetherequiredareabutthelotswouldeachbeonly thirty-sixfeetwide. PresidentLaCroixstatedhefeltverystronglythatthiswouldbeaninroadintoan"R-l"zone,whichwas happeningtoofrequentlyintheCity.Hesaidhefeltwheretherewasapossibilityofretainingproperty inthe"R-l"Districtbyrehabilitation,thisshouldbethefirstsolutionattempted. CouncilmanMcCallmovedtherecommendationofthePlanningBoardfordenialofthepetitionbeupheld. Themotiondiedforlackofasecond. CouncilmanLongakerstatedhehadinspectedtheproperty,discussedthesituationwithfamiliesoneither sideofthehouse,andhadwatchedthepremisessincelastDecemberandtherehadbeennochange.Hesaid hecouldnotseehowtheproperty,byconstructionofanewcondominiumunit,coulddoanythingbutupgrade theneighborhoodandbecomeanasset.HemovedtherecommendationofthePlanningBoardbeoverruledand thepropertybereclassifiedtothe IR-4"District,asrequested.emotionwassecondedbyCouncilman Fore. Speakingonthequestion,CouncilmanMcCallsaidhisthoughthadbeentoattempttoresolvetheissuewith somethingthatwouldbesatisfactorytobothparties.Hesaidwhenold-timeresidentssaidtheywouldbe hurtbytheproposal,hewouldhavetobeguidedbytheirstatementsandhewouldthereforehavetovote againstthemotion. PresidentLaCroixreiteratedhisstatementswithregardtoretaininghomesinthe"R-l"Districtwherever possible. CouncilmanLevysaidhehadinspectedthepropertyunderconsiderationandhefeltadevelopmentofthe typeproposedwouldraisethecharacteroftheneighborhood;aftercompletion,thesurroundingresidents wouldbemuchhappierwithitthanifanattemptweremadetorejuvenatetheoldhomeontheproperty. CouncilmanForerecalled,whenthematterhadbeenbeforetheCouncilpreviously,thathehadrecommended thehomebecondemnedorthatitbeinvestigatedastoitsbeingintheproperstateofrepair. TheClerkstatedtheinvolvedpartieshadbeeninformedthatthiswouldbethetimeandplaceforthe HearinginthismatterandtheminutesofthePlanningBoardmeetingatwhichtheapplicationwasconsidered hadbeensenttotheCouncilmen. Requestshadbeenreceivedfrom979residentsthattheactionoftheBoardbeaffirmedandtheUsePermit begranted. Mr.JohnsonreportedontheactionofthePlanningBoardwithregardtothisapplication,ascoveredin hismemorandumdatedMay11,1970.HesaidMr.JohnMcKie,ExecutiveDirectoroftheAlamedaBoyScouts, hadappearedinsupportoftheapplication,statingthatcertainoff-streetparkingfacilitiesatthe StephensCenterScoutheadquarters,whichadjoinsthesubjectpropertyattherear,wouldbemadeavailable totheGirlsClub. Mr.JohnsonstatedMrs.ThelmaDyke,oneoftheAppellants,hadappearedinprotestrepresentingproperty ownersinthe1400blockofUnionStreetandshehadpresentedapetitioninprotestcontainingforty-two signatures.Twootherpersonshadalsoappearedinopposition.TheBoardhadoverruledtheprotests, findingthatthechargeofpropertydevaluationwasunfounded,thatthe"R-5"zonepermittedbothinstitu- tionalandmultipleresidentialuseswithoutUsePermit,thatthenoisepotentialoftheGirlsClubcould bematchedbyanumberofotherpermittedusesonthepropertyandthatcertainparkingproblemscould alsobecreatedbyotherpermitteduses.Mr.McKiehadbeenrecalledtospeakontheofferofparking facilitiesbytheScoutCouncilandthewrittenagreementonthesubject. Mr.Johnson,onquestion,statedtheagreementstipulatedtwospaceswouldbereservedfortheexclusiveuse oftheGirlsClubMondaythroughFridayduringtheafternoonhourswithoutcharge.Inaddition,theGirls Clubhadpermissiontousesuchotherparkingspacesasmightbeavailable.Itwasgrantedpermissionto installagateinthefencebetweenthepropertiesofStephensCenterandtheGirlsClub.Alsoparking spacesmightbeusedbytheGirlsClubduringeveninghourswhenavailable.Theagreementhadbeensigned byofficersofeachagencyandcertaindocumentationwastoexchangehandsinthematter. Mr.JohnsonstatedtheBoardhadconsideredreportsandrecommendationsfromthevariousCityinspection offices.Theconditionscontainedineachofthesetechnicalreportswouldneedtobemetifthe propertyweretobeusedasaclubhousefacility. Mr.Johnsonstatedthestaffpositioninthematterwasnotastrongone.ItfoundthattheGirlsClub offeredacommunityadvantagebuttheneighborhoodresidentsshouldalsobecloselyconsideredasto theirdesires.HestatedtheBoardhadgrantedtheUsePermitforaperiodoffiveyears,subjecttothe conditionssetfortbbytheCityandCountyregulatoryagencies)andtooff-streetparkingbyagreement withtheScoutExecutiveBoard. Mr.CunninghamstatedtheissuebeforetheCouncilinthismatterwaswhetherornottheactionsand findingsofthePlanningBoard,takenunderSectionll-162(e)oftheMunicipalCode,shouldbeaffirmed, modifiedorreversed.Conditionscouldbeattachedintheeventofaffirmation. Onthecallforproponents,Mr.NedRobinson,AttorneyinthefirmofStark,Stewart,Simon &Sparrowe, representingtheappellants,addressedtheCouncil.HesaidtheappellantswerenotagainsttheGirls Clubbuttheydidfeeltheproposedlocationwasinappropriateforthefacility.Herequestedthatthose intheaudiencelivingintheaffectedblockofUnionStreetwhowereopposedtotheproposalriseanda goodnumberofpeoplestood. Mr.Robinsonstatedthereasonsforobjectionwereseveral-theneighborhood,althoughzoned"R-5"and permittingtheproposedactivity,wasessentiallyincharacterasingle-familyresidentialarea,with ninesingle-familyresidences,oneduplex,onefourp1ex,onecondominiumandaDoctor'soffice.Hesaid theneighborhood,onewhichessentiallyenjoyedpeaceandquiet,wasinhabitedmostlybypeoplewhose childrenhadgrownandlefthome,resultinginonlythreefamilieswithchildreninthehomes.Hesub- mittedthattherewasinadequateparking,withspaceforonlyonecaronthepremises.Hecommentedon theagreementwiththeBoyScoutsfortwoadditionalspaceswhich,hefelt,forafacilityofthistype wouldbefarfromadequate.HesaidcomparisonhadbeenmadetoStephensCenterandremindedthat,while itwastheBoyScoutheadquarters,itwasnotprimarilyaplaceformeetingoftheboys,ascomparedto largenumbersofgirlsmeetinginthebuilding,shouldtheUsePermitbegranted.Mr.Robinsonsaidpeople consultedintherealestatefieldhadstatedgrantingofthePermitwouldundoubtedlydecreaseproperty valuesbecausethevastnumberofpotentialbuyerswouldnotparticularlydesiretolivenexttoabuildinghousinganactivitysuchasproposed. Mr.RobinsonsaidheagreedwiththestaffthatthisPermitshouldbegrantedifacceptabletotheneigh- borhood.Hesaidthepetitioncontainingforty-twosignaturesofthoselivingintheimmediatearea wouldindicatequiteclearlythatthisactivity,althoughgreatinprincipleforsomeportionofthe City,wasnotacceptabletothisquiet.residentialneighborhood.Hesuggestedthattherewereother placesequallyacceptableormoredesirableforagirlsclubtolocateinamuchmorecongenialatmosphere. Mr.ElmerAnderson,1405UnionStreet,whosaidhewasaresidentofacondominium,addressedtheCouncil, statinghehadbeeninthebankingbusinessforoverthirtyyears,involvedinrealestateTending,and hewassurethatwithanestablishmentofthetypeproposedcomingintoaneighborhoodthehousesoneach sidewoulddeteriorateinvalue. Onthecallforopponents,Mr.JohnE.Mitcheom,1319HighStreet,cameforward.Hesaidhehadinspected theareaanddiscussedthematterofvalueswithotherrealestatebrokers.Hesuggestediftheoperation wascontrolledbysupervisorypeopleatalltimesandthechildrenwerenotallowedtogetoutofhand, hecouldseenoreasonwhyitwouldnotbecompatiblewiththearea.Hepointedouttherewasaconsider- ablenumberofmultipledwellings .in theareawithinatwo-to-threeblockradius. PresidentLaCroixstatedhewouldinnowaywishtojeopardizethepositionoftheCityPlanningBoard todebate,discussandarriveataproperdecisionastowhatthedensityshouldbeinthedevelopment oftheareainquestion.Asonememberofthecommittee,hesaid,hehadfeltatnotimehadtheyentered intoanycommitmentoralludedtoanycommitmentastothedensitywhichwouldbeplacedupontheacreage onBayFarmIsland.Hesaidhepersonallyfeltthiswastheunderstandingandthatitwasproperasthe Cityhadaproperly-constitutedPlanningBoardtodeliberateuponthestudyofthemapspresentedtoit forsubdivisions.TheCouncilwouldalsohavetheprerogativeandtherighttoreviewthemaparidto placeupontheparticularareaunderdiscussiontheproperzoninginlinewithrecommendationsfromthePlanningBoard. CouncilmanLongakersaiditwashisunderstandingthatUtahwouldhavetogobeforethePlanningBoard tohaveitsplansapprovedandnothinghadbeendonebythecommitteetoindicatetheyapprovedanyparti- culardensity.ThiswouldbeuptothePlanningBoardtoapprove.Hesaidshouldthedensitycomeupto acertainlevel,thensiteswereaccordinglysetasideforthebenefitoftheCity. Mr.Wellersaidheagreedwithessentiallyeverythingwhichhadbeensaiduptothatpoint.However,he said,irrespectiveofthelanguageinthemotionbywhichtheBoardofEducationhadapprovedtheletter, itshouldbepointedoutthattheBoardstaff,onthebasisofadvicefromwithinitsownorganizationand onthebasisofconsultingadvicefromoutside,hadindicated,andhebelievedthiswasthesenseofthe BoardinitsactionapprovingtheLetter,thatthelanduserequirementsforschoolpurposesweremetat thepopulationdensity,thenumberofdwellingunitsandthecharacteristicsofdevelopmentasshownon theattachedAppendixtotheLetter.Hesaidhebelievedthesameimplicationwaspresentwithrespectto anyactiontheCityCouncilmighttake.Hesaidthiswasnottosaythatthedensityorthenumberof dwellingunitsorthecharacteristicsofthedevelopmentwereguaranteed,assuredorcommitted,butit didsuggestratherclearlythattheBoardofEducationcertainlyandtheCityCouncil,dependingonits actionatthismeeting,hadindicatedthatatthedensities,withthecharacteristicsasindicatedon theattachmenttotheLetter,theareaswhichwereshownonthemapwouldbeadequatetosupporttheir bestjudgmentoftheschoolandparkrequirementsofthepublicagencies. Mrs.LynnJones,1040FairOaksAvenue,askedtoseeacopyoftheLetterofUnderstandingwhichhadbeen approvedbytheSchoolDistrictandwhichwasthesubjectofdiscussionbytheCouncilatthistime.She readthelastparagraphonthefirstpageandaskedforanexplanationofthewords:liToobviatethe necessityofanamendatorycontractwithauthorizingordinance---". Mr.CunninghamexplainedthatwhentheoriginalcontracthadbeendrawnupthShoreLineProperties.Inc., theCityhadbeenfacedwithtwoalternatives-whetherornottoattempttoputinspecificdetailsuch thingsaswereputintheoriginalfillcontract,somedetailswhichlatercametoplaguetheCouncil becausetheycouldnotbeadheredto.orwhethertodrawthecontractinratherbroadlanguage,not knowingthecharacterorsubstanceofthedevelopmentwhichwasproposedbyShoreLineProperties,Inc. andwhich.itnowturnedout,Utahproposed.Thestaff.lawyersandeverybodyinvolvedchosethelatter alternative.Asthedevelopmentprogressed,ithadbecomenecessary,obviously,totiedownsomeofthe matterswhichwereonlygenerallyalludedtoandspecificallythatofthepublicacreageallotments.He saidtheattempthadbeenmadetoforeseeindrawingtheoriginalagreementmatterswhich,iftheproceed- ingshouldgointolitigation,theCourtswouldconsider.Courts,inacontract,astheCouncilwasaware, wereinterestedintwothings-theintentofthepersonsdrawingthecontractandtheinterpretationwhich thepartiestothecontractplaceonthelanguage.Therefore,inordertomakemorespecificthatgeneral language,itwasbelievedadvisabletosetforthinasmuchdetailasthestaff,theSchoolDistrictand otherscouldsupply,theintentofthepartiesasnowexpressed,lookingbacktotheagreementwhenthe specificdevelopmentwasnotknown,andtheinterpretationwhichthepartiesnowplacedontheagreement. Hesaidifthosetwopointscouldbedeterminedandestablishednow,namelytheintentandtheinterpreta- tion,itwouldnotbenecessarytoamendtheoriginalcontract,andthatwasthemeaningofthesentence. Therewasalongexchangeofquestionsandanswerswithregardtodensity,theoriginalcontractandthe LetterofUnderstanding.ToaquestionbyMrs.Jones,Mr.Cunninghamsaidtheoriginalagreement,inhis view,wasbindinganditwashishopeindraftingthisLetter,whichhebelievedhadbeenrealized,that thecontractremainedbindingbetweentheCityandUtahastothemattersexpressedinit.Toanother question,hesaiddensitywasnotexpressedinthecontractnorinthisLetter.HesaidtheLetterin effectexpandedandstatedtheinterpretationofonesentenceineachofthetwooriginalcontractsand thatwasitsonlypurpose.Itwasnottocontrolthefillorthedredgingorthebulkofthematterswhich formedthesubstanceofthetwooriginalfillanddredgingcontracts. Mrs.Jonessaidshefeltthematterwasstillupintheairandopentosomeinterpretation,anditseemed toheritwouldbeinkeepingwithwhatwassaidfortheCouncilalsotoamendthedocumentinthesameway astheBoardofEducationhadamendedit,tomakeitclearthatitwasnotapprovingthemapappendedto theAgreementandnotgivingitsapprovaltothisincreaseofdensity.Shesaidshefeltitwasinkeeping withtheresponsibilityoftheCouncilascaretakersofthepublicinteresttohaveaveryclearunderstand- ingsothatwhenthePlanningBoardactedonthematteritwouldunderstanditwastoplanwithoutbeing boundtotheappendedmaps. Mrs.JonessuggestedthatotherpeoplemightspeakofMr.Travers'statementsattheBoardmeetingwhich indicatedthathisunderstandingandPresidentLaCroix'sunderstandingoftheagreementwerenotthesame. Mr.JohnE.MitcheominquiredoftheCityAttorneyifheknewwhattheproposeddensitywasatthetime ShoreLineProperties,Inc;,hadsubmitteditsproposalfortheBayFarmIslanddevelopment.Mr.Cunningham statedtherewasamapwhichwasneversubmittedorapprovedwhichspokeoflesseracreageand,hebelieved, somedensity.PresidentLaCroixrecalledthatMr.HawleyofShoreLineProperties,Inc.,hadstatedhis map,whichwasneveractedon,wouldhaveadensityofapproximately15,000.Therewassomediscussionon thispoint. CouncilmanMcCallremarkeditwashisunderstandingthattherewasanapprovedplanfor636acresonwhich workcouldbestarted,undertheHawleyagreement.636acreshadbeenapprovedand278acreshadnothing onitwhatsoeverbut1aydormantontheoutboardsideclosetotheairport.Heasked~~r.Cunninghamif thiswascorrect. Mr.Cunninghamreplied,notonlythat,butifnobodydidanythingandtheLetterwereneverwritten,there wasnothingtostopthedeveloperfromcominginwithanysortofdevelopmenthethoughttheCitywould approve.HesaidthisLetterwasnotnecessarytofurtherthedevelopment;itwasanattemptontheCity's parttogettheSchoolDistricttosayhowmuchareaitwouldneed-thatwasthepurposeoftheLetter. OnthestatusoftheHawleyplan,hedeferredtoMr.Johnson. Uponrequest,Mr.JohnsongaveacompleteexplanationofthestudymadebyDrs.WilliamOdellofStanford UniversityandForrestMitchell,theSchoolDistrict'sconsultant,todeterminetheamountoflandwhich wouldberequiredforschooluseonBayFarmIsland.Incomparison,hequoteddensityfiguresonthe mainland. Mrs.MarianBerges,PresidentofHOPE,statedherfeelingwasthatthecomparisonwasinvidious-Mr. Johnsonwastalkingaboutatwentypercentpopulationdifference.AsforHOPE,shesaid,theorganization wishedtogoonrecordasopposingtheestablishmentofanotherhighdensitymiddleclassghettoinAlameda, feelingthatsomeprovisoforlow-incomehousingshouldbeincludedintheplansforBayFarmIslandand thatUtahConstruction &MiningCo.shoulddonateorassistinpayingforthefacilitiesneededforthese peopletoliveinthenewlydevelopedareaontheIsland. Mr.AshleyJones,1040FairOaksAvenue,saidinMr.Johnson'spresentation,hehadheardmanythingssub- tractedfromtheacreageinthemainislandofAlamedabuthadheardverylittlesubtractedfromthe900 acresproposedfordevelopmentonBayFarmIsland.Hesaidhethoughtthepeople wereconcerned because,despiteallofthefiguresandideasaboutdensitiesanddespitethefactthattheCitycouldhave underpresentzoningdoublethepopulationpresentlyinAlameda,itwastheircontentionthatitwasthe City'sresponsibilitytochangetheordinancessothatthissituationcouldnotexist.Hesaiddespiteall oftheconclusions,therewerepeopleinthecommunitywhoweretiredofwatchingapartmentsgoingupand ofthe28,000figurebandiedasbeinganacceptedfactonBayFarmIsland.Hesaidmostoftheirconcerns weredirectedtowardthatsituation.HesaidiftheCityCouncilwasgoingtostandbyandallow140,000 peopletomoveintoAlamedahethoughtthecitizensofthecommunityhadarighttodosomethingaboutit andtheyprobablywould. Mr.Jones'secondpointwasthathewouldliketogetintotheminutesoftheCityCouncilthefactthat concernedcitizenshadonewayofgainingaccesstoinformationofwhatgoesoninCouncilmeetings;that wasthroughthelocalnewspaperandtherepresentativefromthepresswasnotpresentatthattime.Hesaid hefeltthismatterwasofmuchmorevitalconcernthanwhethertheGirlsClubwouldgoinonUnionStreet. Mr.Jonessaidthethirdpointhewantedtomakewasthatthewayhebrokedownthe94acresproposedwas that69acreswouldbeforschoolsand25acreswouldbeforthecommunityatlarge-thattohimmeantfor purposesofpolice,fire,library,parkingforCityfacilitiesandthefunctionswhichgoonina communityofover28,000people,becausetherestofBayFarmIslandwasalsotobeconsidered,There- fore,theCitywasacceptingthefactthat25acresweresufficientfortheneedsoftheCityand,if thiswastrue,hefelttheCouncilwaslettingthecitizensdown. PresidentLaCroixpointedouttheCouncilhadnowayofcontrollingthepress.Secondly,hesaid,the CouncilhadaskedthatproperstudiesbemadetoprotecttheCityintheLetterofUnderstanding.The plantobesubmittedtothePlanningBoardwouldhaveitsdayincourt,andtheBoardwouldsubmitits findingsandrecommendationstotheCouncil.AtthattimetheCouncilwouldweightheplanandthe densityacceptabletotheBoardontheproposedconstructionsiteandthentakeproperactionasto whattheCouncilmightfeeljustifiedintheproposeddevelopment.PresidentLaCroixsaidhefeltthe Councilwaslisteningtowhatthepublicwassayingwithregardtothedensity.Hereiteratedthe Councilwasattempting,indiscussingtheLetter,toprotecttheUnifiedSchoolDistrictandtheCity ofAlamedainsofarasschoolandrecreationallandswereconcerned,fromstudiesmadebythestaffas towhatwasonBayFarmIslandandwhatwouldbeneeded.HesaidthePlanningBoardwouldhavetodigest theplanwhenitwassubmittedbyUtahfortheirapprovalorchangeandhethoughtthatwouldbethe firststep,ifactionwastakentonight. Mr.Jonessaid,fromwhathesawatthismeeting,heassumedthattheCouncilwouldapprovetheLetter ofUnderstandingwhichwasineffectacontract,andifitdidtheCouncilwassayingineffect25acres wereplentyforaCity'sneedsinthisplanof28,500peoplebecause69acreswasschoolproperty,even thoughalotofitwouldbeusedforopenareasforrecreationalpurposes.25acresfor28,500people, hepointedout,waslessthananacreper1,000people,whichdidnotseemreasonabletohim.Mr.Johnson saidthiswastwiceasmuchastheCityhadnow,whichMr.Jonessaidwaspoor. Mr.Jone~suggestediftheGeneralPlanweretobeconsultedastotherecommendationsofthestaff,the Citywasmorethan300acresunderwhatitshouldhaveforrecreation.Hesaidhewassayingthatthe citizensofthecommunityfelttheCitywasinbadshapenowandiftheCouncilshouldapprovethematter nowbeforeit,theCitywouldbeinworseshape. Mr.Wellerexpressedtheopinionthatiftherewasnotatleastsomeminorassumptionofcompetenceon thepartofatleastafewofthepublicofficials,theCityhadaproblem.Heemphasizedthatitwas theSchoolDistrict,itsstaffandconsultantswhohaddeterminedwhattheschoolrequirementswouldbe, basedonthisparticulartypeofdevelopment.HesaiditwastheCitystaffwhichhaddeterminedwhat therecreationalrequirementswouldbe.Heexpressedtheopinionthatotherpublicrequirementswould notbemassive,estimatingthatonefirestationwouldberequiredonBayFarmIslandatsomepointinthe developmentwithone-halfacreoflandorlessandtherewouldbenorequirementforthelawenforcement agencies.TheremightatsometimebeneedforabranchlibraryontheIslandwithperhapsanacreof ground.Evenassumingthatthesefacilitiescouldnotbeputontheacreageprovidedintheproject,the CityhadconsiderableacreageavailableontheIslandwhichwouldbeentirelysatisfactoryforsuchother publicfacilities.HesaidhewasnotnecessarilydefendingtheLetterofUnderstandingbutwassimply pointingoutwhatheconsideredtobeasubstantialfallacyinsomeoftheargumentsbeingmadeagainstit. PresidentLaCroixpointedoutthat,regardlessofwhatthedensitywouldbeontheIsland,abridge wouldhavetobebuiltasthepresentBayFarmIslandBridgecouldnothandletheproposedpopulation. This.ashadbeenstated,wasproposedfortheBroadwayaccessthroughOtisDrive. Mr.CharlesT.Travers,VicePresidentofUtahConstruction &MiningCo.,wasinvitedtomakeastatement atthistime.Mr.Traverssaid,first,hewouldliketoclarifysomeofthestatementswhichhadbeen made.HesaidtherewasinexistenceazoningmapofBayFarmIsland,astatementheconfirmedwithMr. Johnson,anditwastruethatanydevelopercoulddevelophisplansandmapsinaccordancewiththat zoning,legallyandproperly.HeexpressedappreciationforthestudyindepthmadebyMr.Johnsonand calledattentiontothestudymadeonthepossibilitiesforso-calledpopulationanddwellingunitdensity onBayFarmIslandasitstoodundertheexistingzoning.HesaidifheunderstoodwhatMr.Johnsonhad toldhimitwasentirelypossiblethatanydevelopercouldcomeinand,usingthatzoning,achieve approx~matelythesamepopulationdensityanddwellingunitdensityasproposedintheUtahplan.Mr.John- sonsaidthiswastrue,atleastonthe700acres.Mr.Traverssaidhefeltthiswasanimportantpoint foreveryonetorealize. Mr.Traversthenremarkedontheadditional278acresownedbyShoreLineProperties,Inc.,whichwerein reserveandnotapartofthiszoningordensityplan,asconfirmedbyMr.Johnson.Hesuggestedthis wouldmeanthatatsometimeShoreLinePropertieswouldhavecomebacktotheCouncil,thePlanningBoard andalltheappropriateauthoritiesandpresentedaplanforthedevelopmentofthese278acres.Atthis point,noonewouldknowwhatthatplanwouldhavebeen.Theycouldhaveaskedforallhigh-riseapart- mentsonthe278acresorforallmediumdensity,all"R-5"or"R-4",all II 111,alllightcommercialor alllightindustrial.Obviously,therecouldhavebeenconsiderablymoredensityonBayFarmIsland. Mr.TraverssaidUtahhadchosentocomeinandcleartheairatoncewithallofthe914acres,with only50acresoflandinreserveforindustrialuse.Hesaiditwasentirelypossible,however,that astimegoeson,manythingswouldhappeninlanddevelopmentproceduresandpractices,andpossiblythe OaklandAirportwouldcomeintoitsownandbecomeametropolitanairport,andanairportfreightforward- ingterminalcouldbeastrategicuseforsomeoftheBayFarmIslandland.Atthattime,therefore,it wouldbepossibleforUtah,oranydeveloperowningtheproperty,tocomebacktotheCouncilandrequest permissiontoputinanairportfreightterminalatthatlocation.Thiswouldbealandscapedindustrial parktypeofthing,andtherewouldnotbeanyschoolchildrenoutthereatall,sothatwouldreducethe populationdensityandmightgivethefurtheraddedfactorofincreasedtaxrevenuetothecommunity. Thiswasentirelyapossibility,hesaid.Hewastryingtoestablishbythislineofreasoningthatthe peoplewhowereatthismomenttryingtomakeacapitalcase,makecharges,orexpressfearsaboutthe populationdensityinthecommunitywerenotonsoundground.Hefeltmostofwhathadbeensaidatthis meetingbytheCityofficialsestablishedthatfact.Hesaidhefeltthepointshehadmadewiththe PlanningDirectorclearlyandconclusivelyestablishedthefact. Mr.TraverscalledattentiontotheLetterofUnderstanding.First.heemphasizedagainthathisCompany hadnotdrawnuptheLetter.ithadbeendrawnupbytheCityinconjunctionwiththeSchoolDistri~t. saidhisCompanyhadbeenaskedtoreviewtheLetterandstateiftheyconcurred,whichtheyhaddone. HeexpY'essedtheopinionthattheLettermeant,conclusivelyinhismindanditshouldmeanthesamein themindsofothers,thatwithregardtocommunityneedsforschoolsandparksforapopulationofapproxi- mately28,000,asshowninAppendix"A"onthemapattached,with11,000dwellingunitsasshownin Appendix"A",theCityandtheSchoolDistricthadstatedtherequirementswere94acresofland,andUtah hadsaidtheywouldconcur.IftheLetterofUnderstandingwassignedmutually,thatwouldbeestablished. PresidentLaCroixaskedtoinjectoneclarificationfortherecord-thattheLetterestablishedthe factofthe94acresbutdidnotsoestablishthedensity. Mr.TraversrequestedagreementfromtheCityManager,theCityAttorneyandthePlanningDirectorasto thecorrectnessofhisstatement. Mr.Wellersaidthiswasafairstatement,withtheunderstandingthatthisformulawouldoperateineither direction,dependingontheactualdevelopment.Hefelt,inviewofthefact,onceagain,thattheSchool DistrictandtheRecreationstaffhadindicatedwhattheproratarequirementsforschoolandparklands were,ifthisLetterwassigned,itshouldestablishthebestcollectivejudgment.Hecouldnotseehow thePlanningBoardoranyoneelsecouldgobehindit.Thiswasthebestjudgment,basedonthebest informationavailable,andtherewasnobetterinformationavailabletothePlanningBoardortoanyone else. Mr.Cunninghamsaid,onrequest,certainlytheSchoolDistricthadsaidwhattheywouldneed.theCityhad reliedonthat,andthatwaswhatwasintheLetter..Johnsonsaidhewouldconcur. Mr.Traverssaidthen,ifallwereinagreement,therewasnoquestiononthispointandthereshouldbe nofurtherdiscussionatthePlanningBoardlevelontheproblem.Hesaidonecitizenhadexpressedhis displeasurewiththepointandthathedidnotthinktheCouncilwasdoingitsjobinnotrequiringenough landofthedeveloperforapopulationdensityofthisnature.Hesaidthequestionhadbeenanswered conclusivelyforthatcitizenthateveryonewasinagreementthatthiswaswhathadbeenrequestedand thatwaswhatUtahhadagreedtodo,sotherecordshouldbeclear. Thenextquestion,Mr.Traverssaid,wasthedensityandwhatwasreadintothedensity,asfarasthe LetterofUnderstandingwasconcerned.HesaidheconcurredcompletelywiththeCityAttorney'sstatement that,legally,therewasnorequirement,asfarastheLetterwasconcerned,astothepopUlationdensity. TheCityAttorneyhadstatedthat,practically,therewastacitlysomeunderstandingandsomereasonto believethatthisprojectcouldproperlybear28,000peopleand11,000dwellingunitsunderthegeneral planwhichhadbeensubmittedfordevelopment;thiswasnotoutoflineandwiththeLetterbeingentered intoandsigned,thiswouldbeageneralunderstandingbyall.ThiswouldnotmeanthattheCouncilusurped thePlanningBoard'sfunctioninanymanner,shapeorform-thatwasunderstoodbyeveryone.Hesaidhe waswellacquaintedwiththeproceduresinthecommunityandheintendedtoabidebythem,goingtothe PlanningBoardandhavingtheUtahstaffworkwiththeBoard,thePlanningDirectorandhisstafftodevelop thebestpossibleplan.Hesaidhespokeofstreetcirculationandwidths,thelocationofvariousenviron- mentalfeaturesandfactorsoftheproject,thelagoonsandthelagoonfrontageandallthatwen~thit. Mr.Traverssaidhealsowantedtomakeitclearthattheirtentativemapswhentheywereled,asto zoningandastodensity,wouldgenerallyconformproratatoa28,000populationdensityand11,000dwell- ingunitdensity.Theycouldconceivablybeslightlymoreoralittleless,buggenerallyheexpected thesemapswouldcomeinprorata"tothetoell•Hepointedoutithadbeenestablishedthattodosowas doingnothingmorethanwhatcouldbedoneonBayFarmIslandundertheexistingplan.Hesaidthiswas thekeypoint,thatthiscouldbedonerightnowundertheexistingplan,butUtahhadabetterplan.He saidherealizedsomepeopleintheaudiencewoulddifferbuttheremightalsobeagreatmanyotherpeople intheCitywhowouldverywellagreethepresentplanwasafineoneandagreatimprovementontheexist- ingplan. ~~r.TraverssaidhewantedtostrassthepointthatrightnowonBayFarmIslandtherewasdevelopment underway,ofapproximately288acres.Thiscouldgorightontoconclusion,allofitbeingdeveloped, everysingleparceloflandbeingbuiltonwithsomestructure,someresidentialhousing,andifitwere, theCityofAlamedaandtheSchoolDistrictwouldnothaveonesingleacreforschoolsonthatproperty. TheonlyparkwouldbeGodfreyPark,nowontheIsland.Thenewdevelopment,hesaid,wouldbearthe burdenofprovidingschoolsandparksforthewholeoftheIsland,animportantandverysignicantpoint. PresidentLaCroixaskedMr.TraversifhefelttheLetterofUnderstanding,inanyway,spoketoacommit- mentbytheCityastodensity.Mr.Traverssaidhehadgoneoverthepointverycarefullywiththree Citystaffmembers.Hesaidhewantedthemtohearhisreplyandbesurehisanswerwasthesameashe hadgiventhem.HesaidhefeltthatimplicitintheunderstandingofthisLetterwasthefactthatthere wouldbeunderUtah'splansandtheirpresentationtotheappropriatebodiesofthecommunityadevelopment consistingof28,000people,moreorless,and11,000dwellingunits,moreorless,andthatthatwasat leastimplied,atleastconsideredareasonablepossibilityandanacceptableideabythesigningofthis Letter.HesaidiftheCityCouncildidnotthinkitwasacceptableinanymanner,shapeorform,he thoughtitshouldbesostatedatthistime.Heunderstoodthiswaswhatwouldbedoneandthiswasnothing morethanwhatcouldbedonerightnow.HedidnotthinkUtahwasaskingtodoanythingmorethanthey couldalreadydo,andtheywerenotchanginganything.Hesaidhefeltthemeetingtonighthadprovidedthe bestexchangepossibletoclarifythedensitymatterandtogetitoutonthetableonceandforallsothat itcouldnotbecontinuallyattacked. ThepurposeofthiswastoaccommodatethepopulationdensityandthehousingunitdensityonBayFarm IslandjustincasetheSouthernCrossingdidnotgothrough.Inotherwords,iftheSouthernCrossing didnotgothroughandtherewasonlytheBayFarmIslandBridge,therewouldbesomeaccessproblemsand thewayitwasintendedtoaccommodatethoseforthedevelopmentwastomakethisprovisionforasecond access.Mr.Johnsonsaidhewouldaccepttheplaninitspresentformasa IIgiven",buthewasnotsure inhisownmindthattheBroadwaybridgeplustheBayFarmIslandBridgewouldprovideenoughtraffic access.HesaidhebelievedMr~Travershadstatedthesituationfairlybuthewasnotpreparedtoaccept theplanwithouttheSouthernCrossing. ReverendRobertBuckwalter,2311BuenaVistaAvenue,saidinthreepublicmeetingsthecitizenshadnot approvedorgivenanysignofapprovaloftheentireplan.HechallengedMr.Traverstomatchthe citizenrywhowereopposedwithsomepeoplewhowereinfavoroftheplan.HesaidMr.Travershadsaid hehadhiredadeveloperwhohadcometotheCityandaskedwhatwasdesiredandthattheCityandthe SchoolBoardhadbeengiveneverythingtheywanted.Heaskedhowthecitizenrycouldregistertheir opinioninoppositiontodensityiftheLetterofUnderstandingshouldbeapprovedatthismeeting. Mr.TomTaylor,1049OtisDrive,askedMr.Traversifhehadanyconcernforthesafetyofhumanlifeas homesshouldnotbeplacedonBayFarmIslandbecauseofthedangerofearthquakes,whichwasmuchgreater onfilledland.Hesuggestedthatthedensitybekeptverylowinviewofthishazard. Mrs.HelenLarsen,1259St.CharlesStreet,reiteratedthatshefelttheCityCouncilmusttakeaposition ondensityandenactanordinancewhichwouldenforceit.ShesaidshefelttheCitywasinavery vulnerableposition;itstillhadaprettylowdensityonthemajorpartoftheIslandandthecitizens wantedtokeepitthatway.Shesaidshefelt,inviewoftheCityhavingallowedUtahtofillthetide- landsataverynominalfee,theyshouldinturngivelandforschoolpurposes. Mr.JamesBoyd,1312EastShoreDrive,indicatedhisconcernonthedensityproblemontwopoints-the totaloverallenvironmentaleffectandtheimpactonthetaxstructureoftheCity.HesaidUtahConstruc- tion &MiningCo.,asaprivatecorporation,wasloyalandresponsibletoitsstockholders.Thiswasnot necessarilythesameasitsresponsibilitytothecitizensofAlameda.askediftherehadbeenany studyoftheimplicationsoftheproposeddensityfigureastotheimpactoftheUtahplansonthetax structureoftheCity,whetheritwouldraisetaxesandhowmuchitWouldraisethem.Hesuggestedsuch astudybemadeasthisseemedavitalquestionwhichshouldbeansweredbeforeanyactionwastakentoapprovetheproject.
