WEDNESDAY- - NOVEMBER 12, 2003- -5:35 P.M.
Mayor /Chair Johnson convened the Special Joint Meeting at 6:00 p.m.
Councilmember /Commissioner /Board Member Matarrese led the Pledge of
Allegiance.
ROLL CALL - Present: Councilmembers /Commissioners /Board Members
Daysog, Gilmore, Kerr, Matarrese and Mayor/
Chair Johnson - 5.
Absent: None.
AGENDA ITEMS
The Special Meeting was adjourned to Closed Session at 6:00 p.m. to
consider:
(03- 511CC /03- 063CIC) Conference with Real Property Negotiator;
Property: Alameda Naval Air Station; Negotiation Party: Alameda
Point Community Partners, Navy, City of Alameda, Community
Improvement Commission and Alameda Reuse and Redevelopment
Authority; Under Negotiation: Price and terms.
Bob DeLuca, Alameda Unified School District, requested that any
study or request for proposals include the impact on Alameda
Unified School District.
Following the Closed Session, the Special Meeting was reconvened at
7:15 p.m. and Mayor /Chair Johnson announced that the Council/
Commission /Authority obtained a briefing from staff and
instructions were given to Real Property Negotiators.
(03- 512CC /03- 064CIC) Adoption of Resolution Authorizing the Alameda
City Manager, Executive Director of the Commission and the
Executive Director of the Authority to Enter into a Conditional
Acquisition Agreement By and Between the Alameda Point Community
Partners for Real Property at Alameda Point. Not Adopted.
Mayor /Chair Johnson stated several Councilmembers /Commissioners/
Board Members have questions; a [follow -up] meeting has been
scheduled for next Wednesday, November 19,at 5:00 p.m.; the
Council /Board would like to direct specific questions to Alameda
Point Community Partners (APCP); requested written responses to the
questions be provided by Monday, November 17, 2003.

Councilmember /Commissioner /Board Member Kerr stated the City went
through a Request for Qualifications (RFQ) and Request for
Proposals (RFP) process for development of Alameda Point; companies
provided statements about their qualifications and business plans;
changes have developed greatly in recent months; it is her fiscal
responsibility to the taxpayers to know APCP, which has been a
moving target; inquired who is the new APCP, what is its corporate
structure, what are its shares, does it have a bank account and
assets, and can it take out insurance; that she would like to know
the kind of responsibility APCP can take because the City is being
asked to sign an agreement with a pretty undefined entity at this
point.
Mayor /Chair Johnson requested that staff make a list of the
questions for APCP.
Councilmember /Commissioner /Board Member Kerr noted that the City
has never had the equivalent of an RFQ from the newly redefined
APCP partnership.
The City Manager /Executive Director stated the City Clerk would
provide questions to the Council and APCP tomorrow.
Councilmember /Commissioner /Board Member Kerr stated that her
questions are: who is APCP ?; who are the partners ?; what are their
voting shares ?; what are APCP's assets, if any ?; can APCP carry
insurance ?; and what is APCP's corporate or partnership structure ?;
requested all information that would normally be included in a RFQ.
Vice Mayor /Commissioner /Board Member Daysog quoted Joseph Stalin's
idea that the closer one gets to revolution, the more difficult it
becomes; the idea applies to the Conditional Acquisition Agreement
(CAA), which is a really profound point in Alameda's history; the
Council /Commission /Board is progressing slowly to ensure all
information and questions are addressed.
Councilmember /Commissioner /Board Member Gilmore stated that her
question concerns adaptive reuse; APCP is an excellent home
developer; however, APCP has been selected to be the Master
Developer, which requires adaptive reuse; requested specific
information about the APCP's qualifications to perform adaptive
reuse; requested chapter and verse about APCP's thoughts and plans
for adaptive reuse; requested information regarding the Internal
Rate of Return (IRR) ; inquired why the specific starting point was
selected, especially given that the CAA requires the City perform
tasks which will provide a lot more information about unknowns;

stated, theoretically, there should be less risk to APCP, which
should be reflected in the IRR.
Councilmember /Commissioner /Board Member Matarrese requested a
public definition of what the roles are looking at the new
structure and active partners versus passive partners; inquired who
is filling IRG and Morgan Stanley's roles.
Mayor /Chair Johnson stated APCP has not had the opportunity to make
a presentation about itself at a public meeting recently; APCP is
welcome to make a presentation outlining strengths, qualifications,
and why APCP was selected for the project.
Vice Mayor /Commissioner /Board Member Daysog requested a semblance
of how APCP anticipates working with staff or consultants in
devising a business a plan, including deliverables, timetables,
etc.; specifically, who will do what and when; stated the response
might be as simple as APCP is ready to work with staff and staff is
ready to work with APCP.
Councilmember /Commissioner /Board Member Kerr stated one
justification for the high IRR was that APCP was putting up
predevelopment money, which is the most at risk; now that the City
is putting up money, the IRR should be reviewed; the CAA indicated
that APCP was expecting to expend a lot of money during the CAA
period; the new arrangement was intended to stop the bleeding
[expenditure of money]; the City had no control over APCP's
spending; however, APCP expected a high IRR; the CAA does not
indicate there would be an effort to stop the bleeding on APCP's
expenditures.
Vice Mayor /Commissioner /Board Member Daysog inquired whether APCP
should call Councilmembers /Commissioners /Board Members directly if
APCP needs clarification regarding questions raised.
The City Manager /Executive Director stated that staff would prefer
questions go though the City Attorney or himself to ensure everyone
is aware of questions and on the same page.
Councilmember /Commissioner /Board Member Gilmore inquired whether
APCP would be able to respond in the amount of time given.
Aidan Barry, APCP, responded APCP appreciates the clarity of the
questions; APCP should be able to answer the questions, have
responses to the City by Monday and be ready to give a presentation
on Wednesday in an attempt to move the CAA forward; APCP will be
ready, willing and able to respond.

Councilmember /Commissioner /Board Member Kerr inquired whether APCP
would have internal documentation as to who APCP is.
Mr. Barry responded in the affirmative; stated there was an
amendment to the MOU which was distributed to [City] staff today,
it was an obligation within the document [CAA] itself; APCP can
provide further clarity of the questions asked tonight.
Councilmember /Commissioner /Board Member Kerr noted the
Council /Commission/ Board has not seen the document [MOU
amendment].
The City Manager /Executive Director stated staff just received it
and is reviewing the document; copies will be made available to the
Council /Commission /Board.
Adjournment
There being no further business, Mayor /Chair Johnson adjourned the
Special Joint Meeting at 7:40 p.m.
